Por el\npresente, el Prestatario y el Banco acuerdan lo siguiente:\n\nARTÍCULO I - CONDICIONES\nGENERALES; DEFINICIONES\n\n1.01. Las Condiciones Generales (según se\ndefinen en el Apéndice de este Convenio) se aplican al presente Convenio y\nforman parte de este.\n\n1.02. Salvo que se exija lo contrario en\nvirtud del contexto, los términos en mayúsculas usados en este Convenio tienen\nlas definiciones vinculadas a ellos en las Condiciones Generales o en el Apéndice\nde este Convenio.\n\n Ficha Artículo 1\n\nARTÍCULO II - DEL PRÉSTAMO\n\n2.01. El Banco acuerda prestar al Prestatario\nla suma de cien millones ciento quince mil quinientos euros (EUR 115.500.000),\nsegún pueda convertirse tal monto de vez en cuando a través de una Conversión\nde Moneda ( «Préstamo»), para: (a) asistir en el financiamiento del programa descrito\nen el Anexo 1 de este Convenio ( «Programa»); y (b) proporcionar la Opción de Respuesta\nRápida («ORR»).\n\n2.02. El Prestatario podrá retirar los fondos\ndel Préstamo de conformidad con la Sección IV del Anexo 2 de este Convenio.\n\n2.03. La Comisión Inicial corresponde a un\ncuarto del uno por ciento (0,25 %) del monto del Préstamo.\n\n2.04. La Comisión de Compromiso corresponde a\nun cuarto del uno por ciento (0,25 %) anual sobre el Saldo No Retirado del\nPréstamo.\n\n2.05. La tasa de interés corresponde a la\nTasa de Referencia más el Margen Variable, o bien la tasa que pudiera aplicarse\ntras una Conversión, sujeto a la Sección 3.02(e) de las Condiciones Generales.\n\n2.06. Se establecen como Fechas de Pago el 15\nde mayo y el 15 de noviembre de cada año.\n\n2.07. El monto del principal del Préstamo deberá\namortizarse de conformidad con lo establecido en la Sección 3.03 de las\nCondiciones Generales y el Anexo 3 de este Convenio.\n\n Ficha Artículo 2\n\nARTÍCULO III - PROGRAMA;\nPROYECTO DE RESPUESTA CONTINGENTE ANTE\n\nEMERGENCIAS\n\n3.01. El Prestatario declara su compromiso\ncon los objetivos del Programa y el Proyecto de Respuesta Contingente ante\nEmergencias (en lo sucesivo, «PCRE»). Para este fin, el Prestatario, a través\ndel MAG, deberá: (A) ejecutar el Programa y hacer que el Programa se ejecute\npor parte de las Entidades Implementadoras del Programa, de conformidad con las\ndisposiciones del Artículo V de las Condiciones Generales y el Anexo 2 de este\nConvenio; y (b) ejecutar el PCRE, o asegurarse de que se ejecute, de\nconformidad con el Artículo V de las Condiciones Generales del Proyecto.\n\n Ficha Artículo 3\n\nARTÍCULO IV - RECURSOS\nLEGALES DEL BANCO\n\n4.01. El Acontecimiento Adicional de\nSuspensión consta de lo siguiente, a saber, que cualquiera de los Convenios de\nImplementación se haya modificado, suspendido, derogado, revocado o dispensado,\nde manera que afecte de forma sustancial y adversa, a criterio del Banco, la capacidad\nde la respectiva Entidad Implementadora del Programa de ejercer cualquiera de sus\nobligaciones en virtud de los Convenios de Implementación.\n\n4.02. El Acontecimiento Adicional de\nAceleración consta de lo siguiente, a saber, que cualquier situación\nespecificada en la Sección 4.01 de este Convenio ocurra y persista por un\nperíodo de sesenta (60) días contados a partir de que el Banco haya dado aviso\nde dicha situación al Prestatario.\n\n Ficha Artículo 4\n\nARTÍCULO V - EFECTIVIDAD;\nTERMINACIÓN\n\n5.01. Las Condiciones Adicionales para la\nEfectividad constan de lo siguiente:\n\n(a) el Convenio de\nCofinanciamiento ha sido suscrito y entregado, y todas las condiciones previas\na su efectividad o al derecho del Prestatario de efectuar retiros en virtud de\neste (distinto de la efectividad de este Convenio) se han cumplido;\n\n(b) El MAG ha preparado e\nimplementado el Manual de Operaciones, en forma y fondo, de forma satisfactoria\nsegún el criterio del Banco; y\n\n(c) los Convenios de\nImplementación celebrados entre el MAG y las Entidades Implementadoras del\nPrograma se han ejecutado en nombre del Prestatario y cada una de las Entidades\nImplementadoras del Programa, en forma y fondo, de forma satisfactoria según el\ncriterio del Banco.\n\n5.02. (i) llevar a cabo estudios de viabilidad\npara el Distrito de Riego Cartago, capacitar y fortalecer las capacidades de\ngestión de las Sociedades de Usuarios de Agua, y modernizar los 14 trabajos de\nriego existentes mantenidos por las Sociedades de Usuarios de Agua; y (ii)\nautomatizar las esclusas del Distrito de Riego Arenal Tempisque para optimizar\nlos flujos de agua y mejorar la eficiencia del uso del agua;\n\n3.8. fortalecer las capacidades del INTA y la\nONS para producir y certificar variedades de cultivos resilientes específicas;\ny\n\n3.9. llevar a cabo una evaluación de las\niniciativas actuales de financiamiento de NAMA con el propósito de evaluar su\neficacia e identificar posibles ajustes para disminuir sus costos fiscales.\n\nResultados área 4: Agregar\nvalor a los beneficios medioambientales generados por los modelos NAMA de\nproducción a través de Pagos por Servicios Ambientales (PSA)\n\n4.1. (i) diseñar el mecanismo de PSA para\nsuelos agrícolas; (ii) diseñar el mecanismo de financiamiento para el mecanismo\nde PSA para suelos agrícolas; y (iii) lanzar el mecanismo de PSA para un\nconjunto inicial de productores NAMA.\n\n Ficha Artículo 1 Anexo\n\nANEXO 2\n\nEjecución del programa\n\nSección I. El Prestatario, a través del MAG,\nmantendrá un equipo dentro de la SEPSA para el Programa, con funciones,\nresponsabilidades y dotado de personal que cumpla con los requisitos aceptables\npor el Banco en términos de cantidad, cualificaciones y experiencia, según se establece\nen el Manual de Operaciones del Programa, lo que incluye, entre otros , un coordinador\nde Programa, y especialistas medioambientales, sociales, fiduciarios y de supervisión\ny evaluación.\n\n2. El Prestatario, a través del MAG, asumirá\nla responsabilidad:\n\n(a) ante el MAG: como la\nentidad implementadora líder del Programa y responsable de contribuir a\nactividades que permitan alcanzar los indicadores de desembolso (DLI), incluidos,\nlos DLI 1, 2, 3, 5, 6 y 8;\n\n(b) ante la SEPSA: como\nentidad líder responsable principalmente de la coordinación y gestión del\nPrograma en general;\n\n(c) ante INCOPESCA:\nresponsable de contribuir a las actividades que permitan alcanzar el DLI 4;\n\n(d) ante el SFE y SENASA:\ncontribuir a las actividades que permitan alcanzar el DLI 3;\n\n(e) ante el SENARA:\ncontribuir a las actividades que permitan alcanzar el DLI 7;\n\n(f) ante el PIMA:\ncontribuir a las actividades que permitan alcanzar el DLI 4; y\n\n(g) ante el SBD: contribuir\na las actividades que permitan alcanzar el DLI 6.\n\nB. Acuerdos de Implementación\n\n1. Para facilitar la ejecución de la\nRespectiva Parte del Programa por parte de las Entidades Implementadoras del\nPrograma, el Prestatario, a través del MAG, celebrará Acuerdos de Implementación\nentre el MAG y cada una de las Entidades Implementadoras del Programa, bajo los\ntérminos y las condiciones aprobadas por el Banco, que incluirán lo siguiente:\n(a) si corresponde, los términos y las condiciones en virtud de los cuales se\npondrán a disposición los fondos del Préstamo a la Entidad Implementadora del\nPrograma y el derecho del Prestatario a suspender o terminar el derecho de\ndicha Entidad Implementadora del Programa para usar los fondos del Préstamo si\nno cumple con sus obligaciones en virtud del Acuerdo de Implementación; (b) la\nobligación de la Entidad Implementadora del Programa de llevar a cabo su\nRespectiva Parte del Programa de una manera que concuerde con los términos de este\nConvenio y el Manual de Operaciones del Programa; y (c) supervisar e informar requisitos.\n\n2. El Prestatario, a través del MAG, ejercerá\nsus derechos en virtud de cada uno de los Acuerdos de Implementación, de tal\nmanera que proteja los intereses del Prestatario y del Banco, y para cumplir\ncon los fines del Préstamo. Salvo que el Banco acepte lo contrario, el\nPrestatario, a través del MAG, no cederá, modificará ni derogará ninguno de los\nAcuerdos de Implementación, como tampoco renunciará a ninguno de ellos ni a\nninguna de sus disposiciones.\n\n3. En caso de alguna discrepancia entre los\ntérminos del Convenio de Implementación y los términos de este Convenio,\nprevalecerán los términos del presente Convenio.\n\nC. Manual de Operaciones del Programa\n\n1. El Prestatario, a través del MAG,\npreparará, adoptará y, partir de ese momento, ejecutará el Programa de\nconformidad con las disposiciones de un manual (el «Manual de Operaciones») aprobado\npor el Banco, que contenga, entre otros: (a) las actividades y la planificación\nde acciones que se llevará a cabo en virtud del Programa, incluyendo el\nmecanismo de supervisión y coordinación; (b) las respectivas funciones y\nresponsabilidades de las Entidades Implementadoras del Programa; (c) la\ncomposición y las responsabilidades del equipo dentro de MAG que trabaja en el\nPrograma; (d) los sistemas fiduciarios, medioambientales y sociales del\nPrograma; (e) los procedimientos y aspectos operacionales y técnicos para la\nimplementación del Programa, incluida la gestión financiera y los procedimientos\nde adquisiciones del Prestatario; (f) las líneas y los códigos presupuestarios; (g) el mecanismo de reclamaciones; (h) el\nProtocolo de Verificación de los DLI y DLR, así como el marco de supervisión de\nresultados; (i) los arreglos para evitar, detectar, informar, investigar,\nresolver y, de algún otro modo, abordar acciones de fraude y corrupción en el Programa,\nlo que incluye el cumplimiento de las Directrices Anticorrupción; (j) el Plan\nde Acción del Programa; y (k) la lista de inversiones que estarán excluidas\npara su financiamiento.\n\n2. El Prestatario, a través del MAG, no\nderogará, modificará ni suspenderá ninguna de las disposiciones del Manual de\nOperaciones, como tampoco renunciará a él ni de ninguna otra forma incumplirá\ncon las disposiciones de este, sin aprobación previa por escrito del Banco.\n\n3. En caso de alguna discrepancia entre los\ntérminos del Manual de Operaciones y los términos de este Convenio,\nprevalecerán los términos del presente Convenio.\n\nD. Agente de verificación\n\nEl Prestatario, a través del MAG:\n\n(a) designará, a más\ntardar, en un plazo de ciento ochenta (180) días contados a partir de la Fecha\nde Efectividad, y mantendrá desde entonces, en todo momento durante la implementación\ndel Programa, una agencia de verificación que tenga la experiencia y las\ncualificaciones, y en virtud de los términos de referencia, que sean aceptables\npara el Banco (la «Agencia de Verificación») para comprobar los datos y otras pruebas\nque respalden el cumplimiento de uno o varios de los Resultados Vinculados a\nDesembolsos («DLR») y recomendar que se realicen retiros correspondientes en virtud\nde ello, según corresponda; y\n\n(b) garantizará que la\nAgencia de Verificación: (i) lleve a cabo el o los procesos de verificación de\nconformidad con el Protocolo de Verificación; y (ii) envía al Prestatario y el Banco\nlos informes de verificación correspondientes de manera oportuna, de una forma\nque sea satisfactoria a criterio del Banco, tanto de forma como de fondo.\n\nE. Plan de Acción del Programa\n\nEl Prestatario, a través del MAG:\n\n(a) llevará a cabo las\nacciones establecidas en el Plan de Acción del Programa o se asegurará de que\ndichas acciones se lleven a cabo de conformidad con el cronograma establecido\nen dicho Plan de Acción del Programa y de una forma que sea satisfactoria a\ncriterio del Banco:\n\n(b) salvo que el Banco y el\nPrestatario, a través del MAG, acuerden lo contrario por escrito, no cederá,\nmodificará ni derogará el Plan de Acción del Programa, como tampoco renunciará\na este, ni permitirá que se ceda, modifique o derogue dicho Plan de Acción del\nPrograma ni se renuncie a él ni a ninguna de sus disposiciones; y\n\n(c) mantendrá, o hará que\nse mantengan, políticas y procedimientos adecuados que le permitan, así como a\nlas Entidades Implementadoras s del Programa, supervisar y evaluar la\nimplementación del Plan de Acción del Programa de una forma que sea satisfactoria\na criterio del Banco, tanto de forma como de fondo.\n\nSección II. Actividades excluidas\n\nEl Prestatario, a través del MAG, se\nasegurará de que el Programa excluya cualquier actividad que:\n\nA. a criterio del Banco, tenga la\nprobabilidad de que generar un impacto adverso significativo que sea sensible,\ndiverso o sin precedentes sobre el entorno y/o las personas afectadas; o\n\nB. que implique la adquisición de: (1) obras,\nque se estime que cuesten el equivalente a setenta y dos millones ciento\nochenta y siete mil quinientos euros (EUR 72.187.500) o más por contrato; (2)\nbienes, que se estime que cuesten el equivalente a cuarenta y ocho millones\nciento veinticinco mil euros (EUR 48.125.000) o más por contrato; (3) servicios\nque no sean de consultoría, que se estime que cuesten el equivalente a cuarenta\ny ocho millones ciento veinticinco mil euros (EUR 48.125.000) o más por\ncontrato; o (4) servicios de consultoría, que se estime que cuesten el\nequivalente a diecinueve millones doscientos cincuenta mil euros (EUR\n19.250.000) o más por contrato.\n\nSección III. Supervisión, generación de\ninformes y evaluación del Programa\n\nA. El Prestatario, a través del MAG,\nentregará al Banco cada Informe del Programa, a más tardar, un (1) mes después\nde la finalización de cada semestre natural, cubriendo el semestre natural.\n\nB. Sin perjuicio de las disposiciones de la\nSección 5.13 de las Condiciones Generales y el párrafo 6(c) de las Directrices\nAnticorrupción, el Prestatario, a través del MAG, elaborará, o hará que se\nelaboren Informes de ACG, como parte del Informe del Programa, de una forma que\nsea satisfactoria a criterio del Banco, tanto de fondo como de forma.\n\nSección IV. Retiro de los Fondos del Préstamo\n\nA. Disposición General\n\n1. Sin perjuicio de las disposiciones del\nArtículo II de las Condiciones Generales, el Prestatario puede retirar los\nfondos del Préstamo: (a) de conformidad con la Carta de Desembolso e\nInformación Financiera para el Programa, con el propósito de financiar los Gastos\ndel Programa (incluidos impuestos), sobre la base de los DLR logrados por el Prestatario\no la Entidad Implementadora del Programa, según se mida en función de indicadores\nespecíficos («Indicadores Vinculados a Desembolsos» o «DLI»); (b) de conformidad\ncon la Carta de Desembolso e Información Financiera para el CERP, con el propósito\nde financiar el 100 % de los Gastos Elegibles (incluidos impuestos) para el CERP;\ny (c) para la Financiación Complementaria para la Cat DDO, de conformidad con las\ndisposiciones de la Sección II.A del Anexo relevante sobre «Acciones del\nPrograma, Disponibilidad de los Fondos del Préstamo» (o cualquier título\nequivalente) del Convenio Legal de Cat DDO (incluidas las disposiciones\nrelevantes de cualquier otro documento al que se haga referencia en el Convenio\nLegal de Cat DDO o forme parte de este), las que se incorporan como referencia\nen este Convenio y que se aplicarán mutatis mutandis, al monto del\nPréstamo asignado a la Categoría antes mencionada.\n\n2. En la siguiente tabla, se especifica cada\ncategoría de retiro de los fondos del Préstamo (incluidos los Indicadores\nVinculados a Desembolsos y Gastos Elegibles para el CERP, según corresponda)\n(la «Categoría») y la designación de los montos del Préstamo para cada\nCategoría:\n\nCategoría (incluidos los\n\nIndicadores Vinculados a Desembolsos, según\n corresponda)\n\nMonto del Préstamo\n asignado a cada Categoría (expresado en EUR)\n\nResultados que deben alcanzarse\n\n(los fondos del Préstamo se desembolsan\n tras el logro de resultados comprobados. Tales desembolsos no dependen de, ni\n son atribuibles a, transacciones o gastos individuales)\n\nEntidad líder (EL)\n Entidad contribuyente (EC)\n\n(1) DLI n.º 1: Operacionalización\n de la Plataforma Digital de\n\nInformación para Productores\n\n14.899.500\n\nDLR 1.1: La\n Plataforma Digital de Información para Productores está desarrollada y\n operativa\n\nDLR no escalable\n\nMonto Condiciones para retiro; y Período de\nretiro\n\n1. Sin perjuicio de las disposiciones de la\nParte A de esta Sección, no se hará ningún retiro:\n\n(a) sobre la base de los\nDLR alcanzados antes de la Fecha de Suscripción, salvo que podrán efectuarse\nretiros de hasta un monto total no superior a cinco millones setecientos\nsetenta y cinco mil euros (EUR 5.775.000) sobre la base de los DLR alcanzados\nantes de esta fecha pero a partir del 15 de junio de 2025; o bien\n\n(b) por cualquier DLR de\nlas Categorías (1) a (8) hasta y a menos que el Prestatario, a través del MAG,\nhaya proporcionado pruebas satisfactorias, a criterio del Banco, de que dicho\nDLR se alcanzó; o bien\n\n(c) por los Gastos\nElegibles de la Categoría (9) hasta y a menos que el Banco haya notificado al\nPrestatario que se cumplieron las condiciones estipuladas en la Sección 5.15(a)\nde las Condiciones Generales del Proyecto; o bien (d) por el Financiamiento\nComplementario para la Cat DDO de la Categoría (10), hasta y a menos que:\n\n(i) el Prestatario haya\nentregado al Banco una solicitud para reasignar y, posteriormente, retirar el\nSaldo No Retirado del Préstamo, de manera total o parcial, para el\nFinanciamiento Complementario de la Cat DDO, y tal aviso especifique el\nConvenio Legal de Cat DDO; y\n\n(ii) el Banco haya aceptado\ntal solicitud y notificado al Prestatario sobre ello, y esté conforme, con base\nen pruebas que sean satisfactorias a su criterio, de que se cumplieron las\ncondiciones precedentes para retirar el financiamiento provisto en virtud del\nConvenio Legal de Cat DDO.\n\n2. Sin perjuicio de las disposiciones de la\nParte B.1(b) de esta Sección, el Prestatario puede retirar: un monto no\nsuperior a veintiocho millones ochocientos setenta y cinco mil euros (EUR\n28.875.000) a modo de anticipo; sin embargo, si a criterio del Banco los DLR no\nse encuentran alcanzados (o solo se alcanzaron de manera parcial) a la Fecha de\nCierre, el Prestatario reembolsará tal anticipo (o la fracción del anticipo que\ndetermine el Banco de conformidad con las disposiciones de la tabla del Anexo\n2, Sección IV.A.2 de este Convenio) al Banco de manera oportuna una vez que\neste último dé aviso de aquello. Salvo que se acuerde lo contrario con el\nPrestatario, el Banco cancelará el monto reembolsado. Cualquier retiro\nadicional solicitado como anticipo en virtud de cualquier Categoría se\npermitirá únicamente bajo los términos y condiciones que el Banco especifique\nmediante aviso al Prestatario.\n\n3. En caso de retiro del Financiamiento\nComplementario para la Cat DDO, el Prestatario cumplirá con todas las\ndisposiciones sobre «Depósitos de Fondos/Montos del Préstamo» y «Auditorías» (o\ncualquier título equivalente) establecidas en la Sección II del Anexo correspondiente\nsobre «Acciones del Programa, Disponibilidad de los Fondos del Préstamo» (o\ncualquier título equivalente) en el Convenio Legal de Cat DDO (incluidas las\ndisposiciones relevantes de cualquier otro documento al que se haga referencia\nen el Convenio Legal de Cat DDO o forme parte de este), en la misma medida que\nsi dichas disposiciones se hubieran establecido plenamente en este Convenio,\nsalvo que: (a) el término «Préstamo» (o cualquier término equivalente) se\nentenderá como el monto del Financiamiento Complementario para la Cat DDO; y\n(b) el término «Cuenta del Préstamo» (o cualquier término equivalente) se entenderá\ncomo la Cuenta del Préstamo para este Préstamo.\n\n4. La Fecha de Cierre es el 27 de mayo de 2031.\n\n Ficha Artículo 2 Anexo\n\nANEXO 3\n\nCronograma de Amortización\nVinculado a Compromiso\n\nEl Prestatario amortizará el monto del\nprincipal del Préstamo de conformidad con la siguiente tabla, en la que se\nestablecen las Fechas de Pago del Principal del Préstamo y el porcentaje del\nmonto total del principal del Préstamo pagadero en cada Fecha de Pago del\nPrincipal (la «Cuota de Pago»).\n\nPlan de amortización del principal\n\nFecha de Pago del Principal\n\nCuota de Pago\n\nCada 15 de mayo y 15 de noviembre\n\nA partir del 15 de mayo\n de 2031 hasta el 15 de noviembre de 2057\n\n1,82 %\n\nEl 15 de mayo de 2058\n\n1,72 %\n\n Ficha Artículo 3 Anexo\n\nAPÉNDICE\n\nSección I. Definiciones\n\n1. «Acceso\nfinanciero» significa a cuando PYMPA recibe un crédito o beneficios a partir de\nuna garantía para financiar la implementación de NAMA.\n\n2. «Informe\nde ACG» se refiere al informe periódico del MAG y las Entidades Implementadoras\ndel Programa, como para parte del Informe del Programa, de conformidad con este\nConvenio y las disposiciones de las Directrices Anticorrupción, lo que incluye,\nsi ha habido o no: (a) cualquier alegato sustancial y creíble y otros indicios\nde fraude y corrupción en virtud del Programa que hayan llamado la atención de\nla Contraloría de Servicios del Prestatario durante tal Período; (b) cualquier\ninvestigación llevada a cabo por la Contraloría de Servicios sobre tales\nalegatos, su progreso y hallazgos; y (c) cualquier medida resolutiva o\ncorrectiva tomada o planeada en respuesta a tales alegatos o los hallazgos de\nlas investigaciones.\n\n3.\n«Implementar NAMA» significa cuando el MAG documenta que los productores agropecuarios\nse encuentran cumpliendo las prácticas de NAMA en, al menos, una parte de sus\nfincas.\n\n4.\n«Directrices Anticorrupción» significa, a efectos del párrafo 6 del Apéndice de\nlas Condiciones Generales del Programa, las «Directrices para Prevenir y Combatir\nel Fraude y Corrupción en la Financiación de Programas por Resultados»,\nfechadas el 1 de febrero de 2012 y actualizadas el 10 de julio de 2015.\n\n5.\n«Distrito de Riego Arenal Tempisque» se refiere al Distrito de Riego Arenal\nTempisque (DRAT), una dependencia del Servicio Nacional de Aguas Subterráneas,\nRiego y Avenamiento (SENARA), creado el 16 de marzo de 1984 mediante Decreto\nEjecutivo n.º 15321-MAG.\n\n6.\n«Programa Bandera Azul» se refiere al Programa Bandera Azul Ecológica - PBAE\ndel Prestatario, un programa interinstitucional que reconoce iniciativas\nejemplares llevadas a cabo por participantes para promover prácticas\nsostenibles, regido por el Decreto Ejecutivo n.º 36481-MINAET-S, fechado el 12\nde abril de 2011 y las modificaciones subsecuentes que pudiera realizar el\nPrestatario de forma periódica.\n\n7.\n«Cartago» es una provincia situada en el centro de Costa Rica.\n\n8.\n«Distrito de Riego Cartago» se refiere al proyecto de riego planificado en\nvirtud de este Programa, situado en la zona norte de la provincia de Cartago.\n\n9. «Cat DDO» se refiere al financiamiento estipulado en virtud\ndel Convenio Legal de Cat DDO, con opción de\ndetracción diferencia para riesgos catastróficos.\n\n10.\n«Convenio Legal de Cat DDO» se refiere al acuerdo\nexistente entre el Prestatario y el Banco o la Asociación, según sea el caso,\npara la Cat DDO, cuya fecha de cierre es posterior a\nla fecha en la que el Prestatario solicita el retiro del Financiamiento\nComplementario para la Cat DDO, tal como lo\nespecifica en detalle el Prestatario en tal solicitud de retiro.\n\n11.\n«Categoría» se refiere a una categoría establecida en la tabla de la Sección\nIV.A.2 del Anexo 2 de este Convenio.\n\n12. «Cofinanciador» se refiere al Fondo Internacional de\nDesarrollo Agrícola.\n\n13.\n«Cofinanciamiento» significa, a los efectos del párrafo 17 del Apéndice de las\nCondiciones Generales, un monto de diecinueve millones doscientos diez mil\ncuatrocientos cincuenta euros (EUR 19.210.450), que proporcionará el Cofinanciador para ayudar en el financiamiento del Programa.\n\n14.\n«Convenio de Cofinanciamiento» significa el acuerdo que se celebrará entre el\nPrestatario y el Cofinanciador que proporciona el\nCofinanciamiento.\n\n15.\n«Almacenamiento en Frío» se refiere a una instalación que almacena productos,\ncomo pescado fresco, que deben mantenerse a una temperatura controlada, y que\ndebe diseñarse y construirse en la región central del Pacífico de Costa Rica.\n\n16.\n«Financiamiento Complementario para la Cat DDO» se\nrefiere al monto del Préstamo asignado a la Categoría titulada «Financiamiento\nComplementario para la Cat DDO» en la tabla que\nfigura en la Sección IV.A.2 del Anexo 2 de este Convenio.\n\n17.\n«Completado(a)» se refiere a que el estudio de factibilidad final y los planes\nde diseño para la modernización del Distrito de Riego Cartago fueron aprobados\npor el MAG a través de un decreto oficial.\n\n18.\n«Capacitación completada» se refiere a que los extensionistas han completado la\ncapacitación y que el MAG documentó su participación en las siguientes áreas:\n(a) la adopción de NAMA; (b) el registro y uso del sistema de trazabilidad\nagrícola y otros recursos digitales (agromatica);\n(c) la adaptación de la extensión para grupos vulnerables; y (d) la gestión\ngeneral del negocio.\n\n19. «Fondo\nDestinado» se refiere a un fondo que se establecerá dentro de FONAFIFO para\nfinanciar el Mecanismo de PSA.\n\n20.\n«Diseñado» se refiere que, para el Fondo Destinado, las fuentes y el flujo de\nfinanciamiento de los fondos (a) han sido aprobados por las autoridades\ncorrespondientes; y (b) se han promulgado o emitido las aprobaciones legales o\nnormativas correspondientes, según sea el caso.\n\n21.\n«Desarrollado y lanzado» se refiere a cuando un módulo del Sistema Trazar-Agro\ncuenta con planes de desarrollo operativo y técnicos completados y se ha\nanunciado oficialmente como en funcionamiento en un evento de lanzamiento.\n\n22.\n«Desarrollada y operativa» significa cuando la Plataforma Digital de\nInformación para Productores esté integrada en los sistemas del MAG, SENASA y\nSFE, y que los usuarios puedan acceder y navegar en ella.\n\n23.\n«Plataforma Digital de Información para Productores» se refiere al Sistema de\nInformación de Extensión Agropecuaria del MAG.\n\n24.\n«Indicador Vinculado a Desembolsos» o «DLI» por sus siglas en inglés, se\nrefiere, en lo que respecta a una Categoría determinada, al indicador\nrelacionado con dicha Categoría, tal como se establece en la tabla de la\nSección IV.A.2 del Anexo 2 de este Convenio.\n\n25.\n«Resultado Vinculado a Desembolso» o «DLR» por sus siglas en inglés, se\nrefiere, en lo que respecta a una Categoría determinada, el resultado de dicha\nCategoría, según se establece en la tabla de la Sección IV.A.2 del Anexo 2 de\neste Convenio, sobre la base del logro por el que el monto del Préstamo\nasignado a tal resultado puede retirarse de conformidad con las disposiciones\nde tal Sección IV del Anexo 2 de este Convenio.\n\n26.\n«Establecido» se refiere que, para el Mecanismo de PSA, el alcance de\naplicación, reconocimiento de servicios medioambientales y los acuerdos de\nimplementación han sido (a) diseñados; (b) aprobados por las autoridades\ncorrespondientes; y (c) se han promulgado o emitido las aprobaciones legales o\nnormativas correspondientes, según sea el caso.\n\n27.\n«Finalizado» se refiere a la aprobación por parte del MAG, a través de un\ndecreto oficial, del plan de diseño del Almacenamiento en Frío.\n\n28.\n«FONAFIFO» se refiere al Fondo Nacional de Financiamiento Forestal del\nPrestatario, o cualquier ente sucesor que sea aceptable a criterio del Banco.\n\n29.\n«Condiciones Generales» se refiere a las «Condiciones Generales para el\nFinanciamiento del BIRF del Banco Internacional de Reconstrucción y Fomento,\nFinanciación de Programas por Resultados» fechado el 14 de diciembre de 2018\n(actualizado por última vez el 15 de julio de 2023) y las modificaciones\nestablecidas en la Sección II de este Apéndice.\n\n30. «GEI»\nsignifica gases de efecto invernadero.\n\n31.\n«Campaña de información» se refiere a una campaña para dar a conocer y mejorar\nla capacidad de uso de la Plataforma Digital de Información para Productores,\nllevada a cabo a través de varios métodos de comunicación, lo que incluye\neventos presenciales, y medios de comunicación escritos y digitales, y para las\nque el MAG ha enviado un informe a fin de documentar las actividades de dichas\ncampañas y el número aproximado de personas alcanzadas.\n\n32.\n\"Convenios de Implementación\" se refiere a los convenios de ejecución\n(cartas de entendimiento) y convenios marco, según sea el caso, que se\ncelebrarán entre el MAG y cada Entidad Imple mentadora\ndel Programa para la implementación del Programa y a los que se hace referencia\nen detalle en la Sección I.B del Anexo 2 de este Convenio.\n\n33.\n«INCOPESCA» se refiere al Instituto Costarricense de Pesca y Acuicultura, o\ncualquier ente sucesor que sea aceptable a criterio del Banco.\n\n34. «INTA»\nse refiere al Instituto Nacional de Innovación y Transferencia en Tecnología\nAgropecuaria del Prestatario, o cualquier ente sucesor que sea aceptable a\ncriterio del Banco.\n\n35. «MAG»\nse refiere al Ministerio de Agricultura y Ganadería del Prestatario, o\ncualquier ente sucesor que sea aceptable a criterio del Banco.\n\n36. «NAMA»\nse refiere a acciones de mitigación nacionalmente apropiadas, las cuales\ncorresponden a políticas con acciones y objetivos que los países se comprometen\na adquirir para disminuir las emisiones en virtud de la Convención Marco de las\nNaciones Unidas sobre el Cambio Climático.\n\n37. «OIRSA»\nse refiere al Organismo Internacional Regional de Sanidad Agropecuaria, o\ncualquier ente sucesor que sea aceptable a criterio del Banco.\n\n38. «ONS»\nse refiere a la Oficina Nacional de Semillas del Prestatario, o cualquier ente\nsucesor que sea aceptable a criterio del Banco.\n\n39.\n«Operativo» se refiere a cuando se proporciona documentación, como recibos de\ntransacciones, de pescadores que utilizan el Almacenamiento en Frío.\n\n40.\n«Operativo», asimismo, se refiere a cuando el Programa de Financiamiento de\nNAMA del SBD está accesible al público y ha documentado su primer crédito o\ngarantía para PYMPA.\n\n41. «Pagos\npor Servicios Ambientales» o «PSA» se refiere a los pagos realizados a los\nagricultores o hacendados que han acordado llevar a cabo determinadas acciones\npara administrar sus terrenos o cuencas a fin de prestar un servicio ecológico,\nfinanciados por el Fondo Nacional de Financiamiento Forestal (FONAFIFO) o el\nMinisterio de Ambiente y Energía (MINAE), y regidos por la Ley Forestal N.º\n7575 de 1996.\n\n42.\n«Mecanismo de PSA» se refiere a un mecanismo financiero que se diseñará y\nestablecerá para promover el secuestro de carbono en suelos agropecuarios\nmediante pagos a los productores de NAMA por el secuestro certificado de\ncarbono atribuible a su adopción de NAMA.\n\n43. «PIMA»\nse refiere al Programa Integral de Mercadeo Agropecuario, o cualquier ente\nsucesor que sea aceptable a criterio del Banco.\n\n44. «Plan\nde Acción del Programa» significa el plan del MAG fechado el 11 de marzo de\n2025 y al que se hace referencia en la Sección E del Anexo 2 de este Convenio,\ny sus modificaciones posteriores, previo acuerdo por escrito del Banco.\n\n45.\n«Condiciones Generales del Programa» se refiere a las «Condiciones Generales\npara el Financiamiento del BIRF del Banco Internacional de Reconstrucción y\nFomento, Financiación de Programas por Resultados» fechado el 14 de diciembre\nde 2018 (actualizado por última vez el 15 de julio de 2023) y las\nmodificaciones establecidas en la Sección II de este Apéndice.\n\n46.\n«Entidad Ejecutora del Programa» se refiere al MAG, como principal entidad\nejecutora, e INCOPESCA, SBD, SFE, SENARA, PIMA, SENASA e INTA, así como\ncualquier sucesor de estos que sea aceptable a criterio del Banco; por su\nparte, el término «Entidades Implementadoras del Programa» se refiere, en\nconjunto, a todas estas entidades, incluido cualquier sucesor de estas que sea\naceptable a criterio del Banco.\n\n47. «Manual\nde Operaciones del Programa» o «Manual de Operaciones» significa el manual al\nque se hace referencia en la Sección I.C del Anexo 2 de este Convenio, y sus\nmodificaciones posteriores, previo acuerdo del Banco.\n\n48.\n«Condiciones Generales del Proyecto» se refiere a las «Condiciones Generales\npara el Financiamiento del BIRF del Banco Internacional de Reconstrucción y\nFomento , Financiación del Proyecto de Inversión» fechado el 14 de diciembre de\n2018 (actualizado por última vez el 15 de julio de 2023) y las modificaciones\nestablecidas en la Sección II de este Apéndice.\n\n49. «PYMPA»\nse refiere a productores agrícolas costarricenses de pequeña y mediana escala,\nclasificados como tal en virtud del Artículo 9 del Decreto Nº 37911-MAG,\nfechado el 19 de agosto de 2013.\n\n50. «PYMPAs que reciben asistencia para implementar NAMA» se\nrefiere a PYMPA que trabajan en ganadería, cultivo de café y caña de azúcar,\nquienes han recibido asistencia técnica por parte de extensionistas del MAG\npara permitirles satisfacer los criterios necesarios para que su actividad\nproductiva se clasifique como NAMA.\n\n51. «Opción\nde Respuesta Rápida» u «ORR» se refiere al uso del Préstamo, de manera total o\nparcial, solicitado por el Prestatario y aceptado por el Banco de conformidad\ncon los términos de este Convenio para: (a) asistir en el financiamiento del\nCERP; y (b) entregar financiamiento complementario en apoyo al programa\ndefinido en el Convenio Legal de Cat DDO.\n\n52.\n«Registrado y activo» significa que los productores han creado un perfil en la\nPlataforma Digital de Información para Productores y su información está\naccesible para los usuarios e la plataforma.\n\n53. «SBD»\nse refiere al sistema de desarrollo bancario del Prestatario (Sistema de Banca\npara el Desarrollo de Costa Rica), o cualquier ente sucesor que sea aceptable a\ncriterio del Banco.\n\n54.\n«Programa de Financiamiento de NAMA del SBD» se refiere a un programa creado\npara los PYMPA y solo accesible para ellos, destinados a financiar la\nimplementación de NAMAs, y que consta de facilidad de\nfinanciamiento y un esquema de garantía.\n\n55.\n«SENARA» se refiere al Servicio Nacional de Aguas Subterráneas, Riego y\nAvenamiento del Prestatario, o cualquier ente sucesor que sea aceptable a\ncriterio del Banco.\n\n56.\n«SENASA» se refiere al Servicio nacional de Salud Animal del Prestatario, o\ncualquier ente sucesor que sea aceptable a criterio del Banco.\n\n57. «SEPSA»\nse refiere a la Secretaría Ejecutiva de Planificación Sectorial Agropecuaria\ndel MAG, o cualquier ente sucesor que sea aceptable a criterio del Banco.\n\n58.\n«Contraloría de Servicios» se refiere a las entidades o departamentos, según lo\ndetermine el Prestatario y debidamente informados al Banco, a través de los\ncuales los ciudadanos pueden enviar reclamos, quejas o sugerencias a través de\ncanales como formularios en línea, correo electrónico, teléfono o visitas\npresenciales.\n\n59. «SFE»\nse refiere al Servicio Fitosanitario del Estado del Prestatario, o cualquier\nente sucesor que sea aceptable a criterio del Banco.\n\n60. «Fecha\nde Suscripción» se refiere a la última de las dos fechas en la cual el\nPrestatario y el Banco firmaron este Convenio, y tal definición se aplica a\ntodas las referencias a «la fecha del Convenio de Préstamo» en las Condiciones\nGenerales.\n\n61.\n«Sistema Trazar-Agro» se refiere al Sistema Regional Armonizado de Trazabilidad\ny Registro Agropecuario, Acuícola y Pesquero del OIRSA, un sistema de trazabilidad\nque facilita la aplicación de los estándares regionales de trazabilidad, el\nregistro y control de personas y establecimientos agropecuarios, acuícolas y\npesqueros, y el monitoreo de otras operaciones de trazabilidad.\n\n62.\n«Convención Marco de las Naciones Unidas sobre el Cambio Climático» se refiere\na la Convención de la ONU del mismo nombre, fechada el 9 de mayo de 1992.\n\n63.\n«Agencia de Verificación» se refiere al organismo y/o consultores del\nPrestatario que se seleccionarán y designarán de conformidad con las\ndisposiciones de la Sección I.D del Anexo 2 de este Convenio para los fines de\nllevar a cabo la verificación del logro de los DLR por parte del MAG y las\nEntidades Ejecutoras del Programa.\n\n64.\n«Protocolo de Verificación» se refiere al protocolo acordado entre el\nPrestatario, a través del MAG, y el Banco, fechado el 11 de marzo de 2025, en\nel que se establecen los medios, los procedimientos y las pruebas que servirán\nde base certificar el logro de los DLR, así como las entidades responsables de estos,\ny el contenido y/o formato de los informes que se facilitarán al Banco en\nrespaldo de los mismos, y las modificaciones subsiguientes que pudiera sufrir\nposteriormente previo acuerdo por escrito del Banco.\n\n65.\n«Sociedades de Usuarios del Agua» se refiere a las Sociedades de Usuarios del\nAgua conformados según la Ley de Aguas de Costa Rica N.º 276 del 27 de agosto\nde 1942 y su última modificación el 25 de junio de 2012 para regir el uso\ncolectivo del agua pública.\n\n66.\n«Jóvenes» se refiere a personas con una edad mínima de 18 años y una edad\nmáxima de 35 años.\n\nSección II.\nModificaciones a las Condiciones Generales\n\nLas\nCondiciones Generales se modifican en el presente documento de la siguiente\nmanera:\n\n1. Sección\n1.01 (Aplicación de las Condiciones Generales) de las Condiciones\nGenerales del Proyecto se modifican para agregar un nuevo párrafo de la\nsiguiente manera:\n\n«Si el\nConvenio de Préstamo estipula el uso del Préstamo para asistir en el\nfinanciamiento del CERP, las referencias presentes en estas Condiciones\nGenerales para el Proyecto y las Respectivas Partes del Proyecto (distintas de\naquellas estipuladas en la Subsecciones 5.08(b)(i) y 5.08(c)(i), y las\ndefiniciones de los términos «Directrices Anticorrupción», «Regulaciones de\nAdquisiciones», «Proyecto» y «Respectiva Parte del Proyecto») también se\nconsiderarán como referencia al CERP y las Respectivas Partes del CERP,\nrespectivamente. Por el contrario, si el Convenio de Préstamo no estipula el\nuso del Préstamo para asistir en el financiamiento del CERP, no se considerarán\nlas referencias al CERP y las Respectivas Partes del CERP en estas Condiciones\nGenerales, y todas las cláusulas aplicables exclusivamente a ellas.\n\n2. La\nSección 3.01 (Comisión Inicial; Cargo por Compromiso; Sobrecargo por\nExposición) se modifica para quedar de la siguiente manera:\n\n«Sección 3.01. Comisión\nInicial; Comisión por Compromiso\n\n(a) El\nPrestatario pagará al Banco una Comisión Inicial sobre el monto del Préstamo, a\nla tasa especificada en el Convenio de Préstamo. Salvo que se estipule lo\ncontrario en la Sección 2.05(b), el Prestatario pagará la Comisión Inicial, a\nmás tardar, sesenta (60) días después de la Fecha de Efectividad.\n\n(b) El\nPrestatario pagará al Banco una Comisión por Compromiso sobre el Saldo No\nRetirado del Préstamo, a la tasa especificada en el Convenio de Préstamo. La\nComisión por Compromiso se devengará desde la fecha del Convenio de Préstamo o\nla fecha que corresponda al cuarto aniversario de la fecha de aprobación del\nPréstamo por parte del Banco, lo que ocurra en último lugar, hasta las fechas\nrespectivas en las que el Prestatario retire los montos de la Cuenta del\nPréstamo o se cancelen. Salvo que se estipule lo contrario en la Sección\n2.05(c), el Prestatario pagará la Comisión por Compromiso semestralmente a plazo\nvencido en cada Fecha de Pago».\n\n3. La\nSección 3.04 (Amortización anticipada) se modifica para quedar de la\nsiguiente manera:\n\n«Sección 3.04. Amortización\nanticipada\n\n(a) Previa\nnotificación al Banco con no menos de cuarenta y cinco (45) días de antelación,\nel Prestatario podrá amortizar al Banco los siguientes montos antes de su\nvencimiento, a partir de una fecha aceptable para el Banco (siempre que el\nPrestatario haya pagado todos los Pagos del Préstamo adeudados a dicha fecha):\n(i) la totalidad del Saldo del Préstamo Retirado en tal fecha; o (ii) la\ntotalidad del principal de uno o más vencimientos del Préstamo. Cualquier\namortización parcial del Saldo del Préstamo Retirado se aplicará de la forma\nespecificada por el Prestatario o, si no hubiera ninguna especificación del\nPrestatario, de la siguiente manera: (A) si el Convenio de Préstamo estipula la\namortización separada de los Montos Desembolsados del principal del Préstamo,\nla amortización se aplicará en el orden inverso de tales Montos Desembolsados;\nel Monto Desembolsado que se retiró en último lugar se amortizará primero y el\nvencimiento más reciente de tal Monto Desembolsado se amortizará primero; y (B)\nen todos los demás casos, la amortización se aplicará en el orden inverso de\nlos vencimientos del Préstamo, en el que el vencimiento más reciente se\namortizará primero.\n\n(b) Si, en\nlo que respecta a cualquier monto del Préstamo que se amortizará, se ha\naplicado una Conversión y el Período de Conversión no ha terminado en el\nmomento de la amortización, se aplicarán las disposiciones de la Sección 4.06».\n\n4. Los\npárrafos (b) y (c) de la Sección 5.08 (Supervisión y Evaluación del Proyecto)\nde las Condiciones Generales del Proyecto se modifican para quedar de la\nsiguiente manera:\n\n\"(b)\nEl Prestatario:\n\n(i) en lo\nque respecta al Proyecto, elaborará, o hará que se elaboren, informes\nperiódicos («Informe del Proyecto»), de una manera que sea satisfactoria a\ncriterio del Banco, tanto de forma como de fondo, los cuales integrarán los\nresultados de las actividades de evaluación y supervisión del Proyecto y\nestablecerán las medidas recomendadas para garantizar la ejecución continua\neficaz y eficiente del Proyecto, y para lograr sus objetivos;\n\n(ii) en lo\nque respecta al CERP, elaborará, o hará que se elaboren, informes periódicos\n(«Informe del CERP»), de una manera que sea satisfactoria a criterio del Banco,\ntanto de forma como de fondo, los cuales integrarán los resultados de las actividades\nde evaluación y supervisión del CERP y establecerán las medidas recomendadas\npara garantizar la ejecución continua eficaz y eficiente del CERP, y tales\nInformes del CERP se elaborarán: (A) de forma anual, de no existir una Crisis o\nEmergencia Elegible; y (B) al menos de forma semestral, según se determine en\ndetalle en el Manual del CERP, durante todo el período de implementación de un\nPlan de Respuesta ante Crisis durante una Crisis o Emergencia Elegible; y\n\n(iii) el\nPrestatario entregará, o hará que se entregue, cada Informe del Proyecto o\nInforme del CERP al Banco de manera oportuna tras su elaboración, dándole al\nBanco una ventana de tiempo razonable para intercambiar puntos de vista con el\nPrestatario y la Entidad Ejecutora del Proyecto sobre dicho informe, y, a\npartir de ello, implementar tales medidas de recomendación, teniendo en\nconsideración el punto de vista del Banco sobre la materia.\n\n(c) Salvo\nque el Banco pueda determinar razonablemente lo contrario, el Prestatario\nelaborará, o hará que se elabore, y entregará al Banco:\n\n(i) en lo\nque respecta al Proyecto, en un plazo no mayor de seis (6) meses posteriores a\nla Fecha de Cierre: (A) un informe que tenga el alcance y el nivel de detalle\nque el Banco solicite de manera razonable sobre la ejecución del Proyecto, el\ncumplimiento por parte del Prestatario y el Banco de sus respectivas\nobligaciones en virtud de los Convenios Legales y el cumplimiento de los\npropósitos del Préstamo; y (B) un plan diseñado para garantizar la\nsustentabilidad de los logros del Proyecto; y\n\n(ii) en lo\nque respecta al CERP, en un plazo no mayor de seis (6) meses contados a partir\ndel final del período de implementación del CERP: (A) un informe que tenga el\nalcance y el nivel de detalle que el Banco solicite de manera razonable sobre\nla ejecución del CERP, el cumplimiento por parte del Prestatario y el Banco de\nsus respectivas obligaciones y el cumplimiento de los propósitos del Préstamo;\ny (B) un plan diseñado para garantizar la sustentabilidad de los logros del\nCERP».\n\n5. Se\nagrega una nueva Sección 5.15 (Proyecto de Respuesta Contingente ante\nEmergencias) a las Condiciones Generales del Proyecto, de la siguiente\nmanera:\n\n\"Sección 5.15. Proyecto\nde Respuesta Contingente ante Emergencias\n\n(a) Si el\nConvenio de Préstamo estipula el uso del Préstamo para asistir en el\nfinanciamiento del CERP, el Banco puede reasignar el Saldo No Retirado del\nPréstamo, de manera total o parcial, para el financiamiento de un Plan de\nRespuesta ante Crisis específico si el Banco ha notificado al Prestatario de\nque se cumplieron las siguientes condiciones:\n\n(i) (A) el\nPrestatario determinó la ocurrencia de una Crisis o Emergencia Elegible, y\nentregó al Banco una solicitud de reasignación, y posterior a ello retiró el\nSaldo No Retirado del Préstamo, de manera total o parcial, para el\nfinanciamiento de un Plan de Respuesta ante Crisis específico en virtud del\nCERP sujeto a implementación en el momento de la solicitud; y (B) el Banco\nestuvo de acuerdo con dicha determinación y aceptó la solicitud en cuestión; y\n\n(ii) El\nPrestatario ha implementado el Manual del CERP (con el ESCP del CERP adjunto a\nmodo de anexo) y el Plan de Respuesta ante Crisis, de una forma aceptable para\nel Banco tanto en términos de forma como de fondo.\n\n(b) El\nPrestatario llevará a cabo, o hará que se lleve a cabo, el CERP de conformidad\ncon los Planes de Respuesta ante Crisis, el Manual del CERP, los Estándares\nAmbientales y Sociales, el ESCP del CERP y los instrumentos medioambientales y\nsociales preparados en virtud del mismo, de un modo que sea aceptable a\ncriterio del Banco. Para este fin, el Prestatario, garantizará que:\n\n(i) las\nestructuras y los arreglos mencionados en el Manual del CERP se mantengan\ndurante toda la implementación del CERP y cada uno de los Planes de Respuesta\nante Crisis, de una manera que el Banco considere aceptable, tanto de forma\ncomo de fondo;\n\n(ii) se\nelaboren, comuniquen e implementen los instrumentos medioambientales y sociales\nrequeridos para el CERP y el respectivo Plan de Respuesta ante Crisis, de\nconformidad con el Manual del CERP y el ESCP del CERP, de una manera que el\nBanco considere aceptable, tanto de forma como de fondo;\n\n(iii) se\nimplementen las medidas y acciones especificadas en el ESCP del CERP con la\ndebida diligencia y eficiencia, tal como se estipula en el ESCP del CERP;\n\n(iv) se\ndispongan los fondos suficientes para cubrir los costos de la implementación\ndel ESCP del CERP;\n\n(v) se\nmantengan las políticas y los procedimientos, y que se cuente con cantidades\napropiadas de personal cualificado y con experiencia para implementar el ESCP\ndel CERP, tal como se estipula en dicho ESCP del CERP;\n\n(vi) sujeto\na la aprobación previa por escrito del Banco, se comunique oportunamente, tras\nsu aprobación, cualquier ESCP del CERP o documento medioambiental y social\nelaborado en virtud de este;\n\n(vii) se\ntomen todas las medidas necesarias para recopilar, compilar y entregar al\nBanco, a través de informes periódicos, con la frecuencia especificada en el\nESCP del CERP, y de manera oportuna en uno o varios informes separados, si así\nlo solicitara el Banco, información sobre el estado de cumplimiento del ESCP\ndel CERP y los instrumentos medioambientales y sociales a los que se haga\nreferencia en este, todo de una forma que el Banco considere aceptable, tanto\nde forma como de fondo, indicando, a título de ejemplo: (A) el estado de\nimplementación del ESCP del CERP; (B) las condiciones, si las hubiere, que\ninterfieren o tienen el riesgo de interferir en la implementación del ESCP del\nCERP; y (C) las medidas correctivas y preventivas tomadas o necesarias para\nabordar tales condiciones; y\n\n(viii) que\nel Banco sea notificado oportunamente sobre cualquier incidente o accidente\nrelacionado con el CERP o que tenga un impacto sobre este, que tenga, o pudiera\ntener, un efecto adverso significativo sobre el medioambiente, las comunidades\nafectadas, el público o trabajadores, de conformidad con el ESCP del CERP, los\ninstrumentos medioambientales y sociales a los que se hace referencia en este y\nlos Estándares Ambientales y Sociales.\n\n(d) El\nPrestatario se asegurará de que ni el Plan o los Planes de Respuesta ante\nCrisis ni el Manual del CERP o el ESCP del CERP se modifiquen, suspendan,\nderoguen, revoquen o dispensen sin la aprobación previa por escrito del Banco. Sin\nperjuicio de lo anterior, en caso de alguna incongruencia entre las\ndisposiciones del Manual del CERP, los Planes de Respuesta ante Crisis o el\nESCP del CERP, por una parte, y cualquier disposición de estas Condiciones\nGenerales o los Convenios Legales, por la otra, prevalecerán las disposiciones\nde los Convenios Legales y de estas Condiciones Generales.\n\n(e) El\nPrestatario, establecerá, publicitará, mantendrá y operará, o bien, hará que se\nestablezca, publicite, mantenga y opere, un mecanismo accesible de\nreclamaciones para recibir y facilitar la resolución de inquietudes y reclamos\nde las personas afectadas por el CERP, y tomará las medidas necesarias y\napropiadas para resolver tales inquietudes o reclamos, o bien facilitar su\nresolución de una forma que el Banco considere aceptable.\n\n(f) El\nPrestatario se asegurará de que todos los documentos y contratos legalmente\nvinculantes para efectuar obras civiles en virtud del CERP incluyan la\nobligación de que contratistas, subcontratistas y entidades supervisoras: (i)\ncumplan con los aspectos relevantes del ESCP del CERP aplicable y los\ndocumentos medioambientales y sociales a los que se haga referencia en este; y\n(ii) se adhieran a y hagan valer los códigos de conducta entregados a todos los\ntrabajadores y suscritos por ellos, en los que se detallen medidas para abordar\nriesgos ambientales, sociales, de salud y seguridad, y los riesgos de\nexplotación y abuso sexual, acoso sexual y violencia infantil, todo ello como\naplicable a tales obras civiles encargadas o llevadas a cabo en virtud de tales\ncontratos».\n\n6. Se\ninsertan las siguientes definiciones en el Apéndice, en orden alfabético como\npárrafos [#]- [#], y las definiciones y los párrafos restantes, según sea el\ncaso, enumerados nuevamente según corresponda:\n\n«[#]. «ESCP del CERP»\nse refiere al plan de compromiso ambiental y social para el CERP que el\nPrestatario preparará y adoptará, así como las modificaciones periódicas que\npudiera sufrir de conformidad con sus disposiciones, en el que se establecen\nlas medidas y acciones sustanciales que el Prestatario llevará a cabo para\nabordar los posibles riesgos medioambientales y sociales, así como el impacto\nde las actividades detalladas en el Plan de Respuesta ante Crisis, lo que\nincluye los plazos de las acciones y medidas, la dotación de personal\ninstitucional, capacitación, arreglos de supervisión y generación de informes,\ny cualquier instrumento medioambiental y social que se prepare a partir de\neste».\n\n«[#]. «Manual del CERP»\nse refiere al manual de implementación que el Prestatario preparará y adoptará,\nen el que se establecen los arreglos de implementación detallados para el CERP,\nlo que incluye lo siguiente: (a) cualquier estructura o arreglo institucional,\ndesignación de responsabilidades y facultades de tomas de decisiones para\ncoordinar e implementar las actividades en virtud de este; (b) las actividades\nespecíficas que se implementarán en virtud del CERP en respuesta a la Crisis o\nEmergencia Elegible determinada o declarada, de conformidad con el Plan de\nRespuesta ante Crisis; (c) la plantilla del Plan de Respuesta ante Crisis; (d)\nla lista positiva de Gastos Elegibles para el CERP; (e) la gestión financiera y\nlos acuerdos de retiro para la implementación del CERP; (f) los mecanismos y\nprocedimientos de adquisiciones que se seguirán en la implementación del CERP;\n(g) una descripción de la evaluación ambiental y social y los arreglos de\ngestión aplicables al CERP; y (h) una plantilla de Informes del CERP, así como\nlos arreglos de supervisión y evaluación para las actividades que se realicen\nen el marco de este».\n\n«[#]. \"Informe del\nCERP\" significa cada informe sobre el CERP que se preparará y entregará al\nBanco de conformidad con la Sección 5.08 (b)(ii) de estas Condiciones\nGenerales».\n\n«[#]. «Proyecto de\nRespuesta Contingente ante Emergencias» y el término «CERP» significan el\nproyecto de respuesta contingente ante emergencias preparado de forma periódica\npor el Prestatario y acordado con el Banco, destinado a responder de manera\neficaz y oportuna a una Crisis o Emergencia Elegible, tal como se explica en\ndetalle en los Planes de Respuesta ante Crisis, y las modificaciones periódicas\nque pudieran llevarse a cabo por acuerdo entre el Prestatario y el Banco».\n\n«[#]. «Plan de\nRespuesta ante Crisis» significa el plan que el Prestatario elaborará y\nadoptará en respuesta a una Crisis o Emergencia Elegible, que detallará, a modo\nde ejemplo:\n\n(a) las actividades que\nse implementarán en virtud del CERP en respuesta a una Crisis o Emergencia\nElegible; (b) el presupuesto estimado y las asignaciones o fuentes de\nfinanciamiento correspondientes; (c) el plazo de implementación que, salvo que\nel Banco acuerde lo contrario, no excederá de doce (12) meses; (d) las\nadquisiciones previstas y un Plan de Adquisiciones para el CERP sintetizado; y\n(e) el marco y los indicadores de resultados previstos».\n\n«[#]. «Crisis o\nEmergencia Elegible» se refiere a un evento que ha generado, o es probable que\ngenere inminentemente, un impacto adverso económico o social importante para el\nPrestatario, asociado a un desastre o crisis natural o causada por el hombre».\n\n«[#]. «Estándares\nAmbientales y Sociales» significa, en conjunto:\n\n(i)\n\"Estándar Ambiental y Social 1: Evaluación y Gestión de Riesgos e Impactos\nAmbientales y Sociales»; (ii) «Estándar Ambiental y Social 2: Trabajo y\nCondiciones Laborales»; (iii) «Estándar Ambiental y Social 3: Eficiencia en el\nUso de los Recursos y Prevención y Gestión de la Contaminación»;\n\n(iv)\n«Estándar Ambiental y Social 4: Salud y Seguridad de la Comunidad»;\n\n(v)\n\"Estándar Ambiental y Social 5: Adquisición de Tierras, Restricciones\nsobre el Uso de la Tierra y Reasentamiento Involuntario»; (vi) «Estándar\nAmbiental y Social 6: Conservación de la Biodiversidad y Gestión Sostenible de\nlos Recursos Naturales Vivos; (vii) Estándar Ambiental y Social 7: Pueblos\nIndígenas/Comunidades Locales Tradicionales Históricamente Desatendidas de\nÁfrica Subsahariana»;\n\n(viii)\nEstándar Ambiental y Social 8: Patrimonio Cultural»;\n\n(ix)\nEstándar Ambiental y Social 9: Intermediarios Financieros»;\n\n(x) Estándar\nAmbiental y Social 10: Participación de las Partes Interesadas y Divulgación de\nInformación»; en vigor desde el 1 de octubre de 2018, según publicación del\nBanco».\n\n7. En los\npárrafos enumerados originalmente 74 y 80 del Apéndice de las Condiciones\nGenerales del Programa, así como los párrafos enumerados originalmente 75 y 81\ndel Apéndice de las Condiciones Generales del Proyecto, los términos «Pago del\nPréstamo» y «Fecha de Pago», respectivamente, y en los párrafos enumerados\noriginalmente 6, 85 y 90 del Apéndice de las Condiciones Generales del\nProyecto, los términos «Directrices Anticorrupción», «Regulaciones de\nAdquisiciones» e «Informes del Proyecto», respectivamente, se modifican para\nquedar de la siguiente manera:\n\n«6. «Directrices\nAnticorrupción» significa: (a) para el Proyecto: las «Directrices para Evitar y\nCombatir Fraude y Corrupción en Proyectos Financiados por Préstamos del BIRF y\nCréditos y Subvenciones de la AIF», como se define en detalle en el Convenio de\nPréstamo; y (b) para el CERP: la iteración más reciente de las «Directrices\npara Evitar y Combatir Fraude y Corrupción en Proyectos Financiados por\nPréstamos del BIRF y Créditos y Subvenciones de la AIF» que el Banco haya\nemitido al día de la aprobación del financiamiento del CERP por parte del\nBanco».\n\n«74. «Pago del\nPréstamo» significa cualquier monto pagadero por las Partes del Préstamo al\nBanco en virtud de los Convenios Legales, con inclusión (sin que la mención sea\nlimitativa) de cualquier monto del Saldo Retirado del Préstamo, los intereses,\nla Comisión Inicial, el Cargo por Compromiso, el interés devengado de acuerdo\ncon la Tasa de Interés Moratorio (si lo hubiera), cualquier sobrecargo,\ncualquier comisión de transacción relativa a una Conversión o respecto de la\nterminación anticipada de una Conversión, cualquier prima pagadera tras el\nestablecimiento de un Tope (cap) de la Tasa de\nInterés o una Banda (collar) de la Tasa de Interés, y cualquier Monto de\nReversión pagadero por el Prestatario».\n\n«80. «Fecha de Pago»\nsignifica cada fecha especificada en el Convenio de Préstamo que ocurra en, o\nposterior a, la fecha del Convenio de Préstamo sobre la que serán pagaderos los\nintereses el Cargo por Compromiso y otros cargos y comisiones del Préstamo (distintos\nde la Comisión Inicial) según corresponda».\n\n«85. «Regulaciones de\nAdquisiciones» significa: (a) para el Proyecto: las «Regulaciones de\nAdquisiciones del Banco Mundial para los Prestatarios en virtud del\nFinanciamiento de la Inversión del Proyecto», como se define en detalle en el\nConvenio de Préstamo; y (b) para el CERP: la iteración más reciente de las\n«Regulaciones de Adquisiciones del Banco Mundial para los Prestatarios en\nvirtud del Financiamiento de la Inversión del Proyecto» que el Banco haya\nemitido al día de la aprobación del financiamiento del CERP por parte del\nBanco».\n\n«90. «Informe del\nProyecto» significa cada informe sobre el Proyecto que se preparará y entregará\nal Banco de conformidad con la Sección 5.08 (b)(i) de estas Condiciones\nGenerales».\n\n8. The\nBorrower and the Bank hereby agree as follows:\n\nARTICLE I - GENERAL\nCONDITIONS; DEFINITIONS\n\n1.01. The Bank agrees to lend to the Borrower\nthe amount of one hundred million one hundred fifteen thousand five hundred euros (EUR 115.500.000),\nas such amount may be converted from time to time through a Currency Conversion (Conversión\nde Moneda) (“Loan”), to: (a) assist in financing the program described\nin Anexo 1 to this Agreement (“Program”); and (b) provide the Rapid Response\nOption (Opción de Respuesta Rápida) (“ORR”).\n\n2.02. The Borrower may withdraw the proceeds\nof the Loan in accordance with Section IV of Anexo 2 to this Agreement.\n\n2.03. The Front-end Fee (Comisión Inicial) shall be\none quarter of one percent (0,25 %) of the Loan amount.\n\n2.04. The Commitment Charge (Comisión de Compromiso) shall be\none quarter of one percent (0,25 %) per annum on the Unwithdrawn Loan Balance\n(Saldo No Retirado del Préstamo).\n\n2.05. The interest rate shall be the\nReference Rate (Tasa de Referencia) plus the Variable Spread (Margen Variable), or such rate as may apply\nfollowing a Conversion, subject to Section 3.02(e) of the General Conditions.\n\n2.06. The Payment Dates (Fechas de Pago) shall be 15\nMay and 15 November of each year.\n\n2.07. The principal amount of the Loan shall\nbe repaid in accordance with Section 3.03 of the\nGeneral Conditions and Anexo 3 to this Agreement.\n\n Article 2 Record\n\nARTICLE III - PROGRAM;\nCONTINGENT EMERGENCY RESPONSE PROJECT\n\n3.01. The Borrower declares its commitment\nto the objectives of the Program and the Contingent Emergency Response Project\n(Proyecto de Respuesta Contingente ante Emergencias) (hereinafter, “PCRE”). To this end, the Borrower, through\nMAG, shall: (A) carry out the Program and cause the Program to be carried out\nby the Program Implementing Entities (Entidades Implementadoras del Programa), in accordance with the\nprovisions of Article V of the General Conditions and Anexo 2 to this\nAgreement; and (b) carry out the PCRE, or cause it to be carried out, in\naccordance with Article V of the Project General Conditions.\n\n Article 3 Record\n\nARTICLE IV - BANK\nREMEDIES\n\n4.01. The Additional Event of\nSuspension (Acontecimiento Adicional de Suspensión) consists of the following, namely, that any of the Implementation\nAgreements (Convenios de Implementación) has been amended, suspended, abrogated, revoked, or waived\nin such a manner as to materially and adversely affect, in the Bank’s opinion, the\nability of the respective Program Implementing Entity to perform any of its\nobligations under the Implementation Agreements.\n\n4.02. The Additional Event of\nAcceleration (Acontecimiento Adicional de Aceleración) consists of the following, namely, that any event\nspecified in Section 4.01 of this Agreement occurs and continues for a\nperiod of sixty (60) days after the Bank has given notice\nof such event to the Borrower.\n\n Article 4 Record\n\nARTICLE V - EFFECTIVENESS;\nTERMINATION\n\n5.01. The Additional Conditions of\nEffectiveness (Condiciones Adicionales para la Efectividad) consist of the following:\n\n(a) the Cofinancing Agreement\n(Convenio de Cofinanciamiento) has been executed and delivered, and all conditions precedent\nto its effectiveness or to the Borrower’s right to make withdrawals thereunder\n(other than the effectiveness of this Agreement) have been fulfilled;\n\n(b) MAG has prepared and\nimplemented the Operations Manual (Manual de Operaciones), in form and substance satisfactory\nto the Bank; and\n\n(c) the Implementation\nAgreements entered into between MAG and the Program Implementing Entities\nhave been executed on behalf of the Borrower and each of the Program\nImplementing Entities, in form and substance satisfactory to the Bank.\n\n5.02. (i) conducting feasibility studies\nfor the Distrito de Riego Cartago, training and strengthening the management capacities of\nthe Sociedades de Usuarios de Agua, and modernizing the 14 existing irrigation works\nmaintained by the Sociedades de Usuarios de Agua; and (ii)\nautomating the sluice gates of the Distrito de Riego Arenal Tempisque to optimize\nwater flows and improve water-use efficiency;\n\n3.8. strengthening the capacities of INTA and\nONS to produce and certify selected resilient crop varieties;\nand\n\n3.9. conducting an assessment of current\nNAMA financing initiatives for the purpose of evaluating their\neffectiveness and identifying potential adjustments to reduce their fiscal costs.\n\nResults Area 4: Add\nvalue to the environmental benefits generated by NAMA production models\nthrough Pago de Servicios Ambientales (PSA)\n\n4.1. (i) design the Pago de Servicios Ambientales (PSA) mechanism for agricultural soils; (ii) design the financing mechanism for the PSA mechanism for agricultural soils; and (iii) launch the PSA mechanism for an initial group of NAMA producers.\n\n Article 1 Annex Record\n\nANNEX 2\n\nProgram Implementation\n\nSection I. Implementation Arrangements\n\nA. Program Institutions\n\n1. The Borrower, through MAG, shall maintain a team within SEPSA for the Program, with functions and responsibilities and staffing that meet requirements acceptable to the Bank in terms of number, qualifications, and experience, as established in the Program Operations Manual, including, among others, a Program coordinator and environmental, social, fiduciary, and monitoring and evaluation specialists.\n\n2. The Borrower, through MAG, shall assume responsibility:\n\n(a) with respect to MAG: as the lead implementing entity for the Program and responsible for contributing to activities that enable achievement of the Disbursement-Linked Indicators (DLIs), including DLIs 1, 2, 3, 5, 6, and 8;\n\n(b) with respect to SEPSA: as the lead entity primarily responsible for the overall coordination and management of the Program;\n\n(c) with respect to INCOPESCA: responsible for contributing to activities that enable achievement of DLI 4;\n\n(d) with respect to SFE and SENASA: contributing to activities that enable achievement of DLI 3;\n\n(e) with respect to SENARA: contributing to activities that enable achievement of DLI 7;\n\n(f) with respect to PIMA: contributing to activities that enable achievement of DLI 4; and\n\n(g) with respect to SBD: contributing to activities that enable achievement of DLI 6.\n\nB. Implementation Arrangements\n\n1. To facilitate the implementation of the Respective Part of the Program by the Program Implementing Entities, the Borrower, through MAG, shall enter into Implementation Agreements between MAG and each of the Program Implementing Entities under terms and conditions approved by the Bank, which shall include the following: (a) if applicable, the terms and conditions under which the Loan proceeds shall be made available to the Program Implementing Entity and the Borrower’s right to suspend or terminate that Program Implementing Entity’s right to use the Loan proceeds if it fails to fulfill its obligations under the Implementation Agreement; (b) the Program Implementing Entity’s obligation to carry out its Respective Part of the Program in a manner consistent with the terms of this Agreement and the Program Operations Manual; and (c) monitoring and reporting requirements.\n\n2. The Borrower, through MAG, shall exercise its rights under each of the Implementation Agreements in such a manner as to protect the interests of the Borrower and the Bank and accomplish the purposes of the Loan. Unless the Bank agrees otherwise, the Borrower, through MAG, shall not assign, amend, or repeal any of the Implementation Agreements, nor waive any of them or any of their provisions.\n\n3. In the event of any inconsistency between the terms of the Implementation Agreement and the terms of this Agreement, the terms of this Agreement shall prevail.\n\nC. Program Operations Manual\n\n1. The Borrower, through MAG, shall prepare, adopt, and thereafter implement the Program in accordance with the provisions of a manual (the “Operations Manual”) approved by the Bank, containing, among other things: (a) the activities and action planning to be carried out under the Program, including the monitoring and coordination mechanism; (b) the respective functions and responsibilities of the Program Implementing Entities; (c) the composition and responsibilities of the team within MAG working on the Program; (d) the Program’s fiduciary, environmental, and social systems; (e) the operational and technical procedures and aspects for implementing the Program, including the Borrower’s financial management and procurement procedures; (f) the budget lines and codes; (g) the grievance mechanism; (h) the DLI and DLR Verification Protocol, as well as the results-monitoring framework; (i) arrangements to prevent, detect, report, investigate, resolve, and otherwise address fraud and corruption in the Program, including compliance with the Anti-Corruption Guidelines; (j) the Program Action Plan; and (k) the list of investments that shall be excluded from financing.\n\n2. The Borrower, through MAG, shall not repeal, amend, or suspend any provision of the Operations Manual, nor waive it or otherwise fail to comply with its provisions, without the Bank’s prior written approval.\n\n3. In the event of any inconsistency between the terms of the Operations Manual and the terms of this Agreement, the terms of this Agreement shall prevail.\n\nD. Verification Agent\n\nThe Borrower, through MAG, shall:\n\n(a) appoint, no later than one hundred eighty (180) days after the Effective Date, and thereafter retain at all times during implementation of the Program, a verification agency with experience and qualifications, and under terms of reference, acceptable to the Bank (the “Verification Agency”), to verify the data and other evidence supporting achievement of one or more Disbursement-Linked Results (“DLRs”) and recommend that the corresponding withdrawals be made thereunder, as applicable; and\n\n(b) ensure that the Verification Agency: (i) carries out the verification process or processes in accordance with the Verification Protocol; and (ii) submits the corresponding verification reports to the Borrower and the Bank in a timely manner and in form and substance satisfactory to the Bank.\n\nE. Program Action Plan\n\nThe Borrower, through MAG, shall:\n\n(a) carry out the actions set forth in the Program Action Plan, or ensure that such actions are carried out, in accordance with the schedule established in that Program Action Plan and in a manner satisfactory to the Bank;\n\n(b) unless the Bank and the Borrower, through MAG, otherwise agree in writing, not assign, amend, or repeal the Program Action Plan, nor waive it, or permit that Program Action Plan or any of its provisions to be assigned, amended, repealed, or waived; and\n\n(c) maintain, or cause to be maintained, adequate policies and procedures enabling it and the Program Implementing Entities to monitor and evaluate implementation of the Program Action Plan in form and substance satisfactory to the Bank.\n\nSection II. Excluded Activities\n\nThe Borrower, through MAG, shall ensure that the Program excludes any activity that:\n\nA. in the Bank’s opinion, is likely to generate a significant adverse impact that is sensitive, diverse, or unprecedented on the environment and/or affected persons; or\n\nB. involves the procurement of: (1) works estimated to cost the equivalent of seventy-two million one hundred eighty-seven thousand five hundred euros (EUR 72.187.500) or more per contract; (2) goods estimated to cost the equivalent of forty-eight million one hundred twenty-five thousand euros (EUR 48.125.000) or more per contract; (3) non-consulting services estimated to cost the equivalent of forty-eight million one hundred twenty-five thousand euros (EUR 48.125.000) or more per contract; or (4) consulting services estimated to cost the equivalent of nineteen million two hundred fifty thousand euros (EUR 19.250.000) or more per contract.\n\nSection III. Program Monitoring, Reporting, and Evaluation\n\nA. The Borrower, through MAG, shall furnish each Program Report to the Bank no later than one (1) month after the end of each calendar semester, covering that calendar semester.\n\nB. Without limitation to the provisions of Section 5.13 of the General Conditions and paragraph 6(c) of the Anti-Corruption Guidelines, the Borrower, through MAG, shall prepare, or cause to be prepared, ACG Reports as part of the Program Report, in form and substance satisfactory to the Bank.\n\nSection IV. Withdrawal of Loan Proceeds\n\nA. General Provision\n\n1. Without limitation to the provisions of Article II of the General Conditions, the Borrower may withdraw the Loan proceeds: (a) in accordance with the Disbursement and Financial Information Letter for the Program, for the purpose of financing Program Expenditures (including taxes), on the basis of the DLRs achieved by the Borrower or the Program Implementing Entity, as measured against specific indicators (“Disbursement-Linked Indicators” or “DLIs”); (b) in accordance with the Disbursement and Financial Information Letter for the CERP, for the purpose of financing 100 % of Eligible Expenditures (including taxes) for the CERP; and (c) for Complementary Financing for the Cat DDO, in accordance with the provisions of Section II.A of the relevant Annex concerning “Program Actions, Availability of Loan Proceeds” (or any equivalent title) of the Cat DDO Legal Agreement (including the relevant provisions of any other document referenced in or forming part of the Cat DDO Legal Agreement), which are incorporated by reference into this Agreement and shall apply mutatis mutandis to the amount of the Loan allocated to the aforementioned Category.\n\n2. Notwithstanding the provisions of Part A of this Section, no withdrawal shall be made:\n\n(a) on the basis of DLRs achieved before the Signature Date, except that withdrawals may be made up to an aggregate amount not exceeding five million seven hundred seventy-five thousand euros (EUR 5.775.000) on the basis of DLRs achieved before that date but on or after June 15, 2025; or\n\n(b) for any DLR under Categories (1) through (8), unless and until the Borrower, through MAG, has furnished evidence satisfactory to the Bank that such DLR has been achieved; or\n\n(c) for Eligible Expenditures under Category (9), unless and until the Bank has notified the Borrower that the conditions set forth in Section 5.15(a) of the General Conditions for the Project have been fulfilled; or (d) for Complementary Financing for the Cat DDO under Category (10), unless and until:\n\n(i) the Borrower has submitted to the Bank a request to reallocate and thereafter withdraw all or part of the Unwithdrawn Loan Balance for Complementary Financing for the Cat DDO, and such notice specifies the Cat DDO Legal Agreement; and\n\n(ii) the Bank has accepted such request and notified the Borrower accordingly, and is satisfied, on the basis of evidence satisfactory to it, that the conditions precedent to withdrawal of the financing provided under the Cat DDO Legal Agreement have been fulfilled.\n\n2. Notwithstanding the provisions of Part B.1(b) of this Section, the Borrower may withdraw an amount not exceeding twenty-eight million eight hundred seventy-five thousand euros (EUR 28.875.000) as an advance; provided, however, that if, in the Bank’s judgment, the DLRs have not been achieved (or have been only partially achieved) by the Closing Date, the Borrower shall promptly refund such advance (or the portion of the advance determined by the Bank in accordance with the provisions of the table in Anexo 2, Section IV.A.2 of this Agreement) to the Bank upon notice thereof from the Bank. Unless otherwise agreed with the Borrower, the Bank shall cancel the refunded amount. Any additional withdrawal requested as an advance under any Category shall be permitted only under the terms and conditions specified by the Bank by notice to the Borrower.\n\n3. In the event of a withdrawal of Complementary Financing for the Cat DDO, the Borrower shall comply with all provisions concerning “Deposits of Funds/Loan Amounts” and “Audits” (or any equivalent title) set forth in Section II of the corresponding Schedule concerning “Program Actions, Availability of Loan Proceeds” (or any equivalent title) in the Cat DDO Legal Agreement (including the relevant provisions of any other document referred to in or forming part of the Cat DDO Legal Agreement), to the same extent as if such provisions had been fully set forth in this Agreement, except that: (a) the term “Loan” (or any equivalent term) shall be understood to mean the amount of Complementary Financing for the Cat DDO; and (b) the term “Loan Account” (or any equivalent term) shall be understood to mean the Loan Account for this Loan.\n\n4. (b) any investigation conducted by the Contraloría de Servicios into such allegations, and its progress and findings; and (c) any remedial or corrective measures taken or planned in response to such allegations or investigative findings.\n\n3. “Implement NAMA” means when MAG documents that agricultural producers are complying with NAMA practices on at least part of their farms.\n\n4. “Anti-Corruption Guidelines” means, for purposes of paragraph 6 of the Appendix to the General Conditions for the Program, the “Guidelines on Preventing and Combating Fraud and Corruption in Program-for-Results Financing,” dated February 1, 2012 and updated July 10, 2015.\n\n5. “Distrito de Riego Arenal Tempisque” means Distrito de Riego Arenal Tempisque (DRAT), a division of Servicio Nacional de Aguas Subterráneas, Riego y Avenamiento (SENARA), created on March 16, 1984 by Decreto Ejecutivo n.º 15321-MAG.\n\n6. “Programa Bandera Azul” means the Borrower’s Programa Bandera Azul Ecológica - PBAE, an interinstitutional program that recognizes exemplary initiatives undertaken by participants to promote sustainable practices, governed by Decreto Ejecutivo n.º 36481-MINAET-S, dated April 12, 2011, and any subsequent amendments that the Borrower may make from time to time.\n\n7. “Cartago” is a province located in central Costa Rica.\n\n8. “Distrito de Riego Cartago” means the irrigation project planned under this Program, located in the northern area of the province of Cartago.\n\n9. “Cat DDO” means the financing provided under the Cat DDO Legal Agreement, with a deferred drawdown option for catastrophic risks.\n\n10.\n“Cat DDO Legal Agreement” (Convenio Legal de Cat DDO) means the existing agreement between the Borrower and the Bank or the Association, as applicable, for the Cat DDO, whose closing date is later than the date on which the Borrower requests withdrawal of the Cat DDO Complementary Financing, as specified in detail by the Borrower in such withdrawal request.\n\n11.\n“Category” (Categoría) means a category set forth in the table in Section IV.A.2 of Anexo 2 to this Agreement.\n\n12. “Cofinancier” (Cofinanciador) means the Fondo Internacional de Desarrollo Agrícola.\n\n13.\n“Cofinancing” (Cofinanciamiento) means, for purposes of paragraph 17 of the Appendix to the General Conditions, an amount of diecinueve millones doscientos diez mil cuatrocientos cincuenta euros (EUR 19.210.450), to be provided by the Cofinancier to assist in financing the Program.\n\n14.\n“Cofinancing Agreement” (Convenio de Cofinanciamiento) means the agreement to be entered into between the Borrower and the Cofinancier providing the Cofinancing.\n\n15.\n“Cold Storage Facility” (Almacenamiento en Frío) means a facility that stores products, such as fresh fish, which must be kept at a controlled temperature, and which is to be designed and built in Costa Rica’s central Pacific region.\n\n16.\n“Cat DDO Complementary Financing” (Financiamiento Complementario para la Cat DDO) means the amount of the Loan allocated to the Category entitled “Cat DDO Complementary Financing” in the table set forth in Section IV.A.2 of Anexo 2 to this Agreement.\n\n17.\n“Completed” (Completado(a)) means that the final feasibility study and design plans for the modernization of the Distrito de Riego Cartago have been approved by MAG through an official decree.\n\n18.\n“Training completed” (Capacitación completada) means that the extension agents (extensionistas) have completed the training and that MAG has documented their participation in the following areas: (a) NAMA adoption; (b) registration in and use of the agricultural traceability system and other digital resources (agromatica); (c) adaptation of extension services for vulnerable groups; and (d) general business management.\n\n19. “Earmarked Fund” (Fondo Destinado) means a fund to be established within FONAFIFO to finance the PSA Mechanism.\n\n20.\n“Designed” (Diseñado) means that, for the Earmarked Fund, the funding sources and flow of funds (a) have been approved by the relevant authorities; and (b) the relevant legal or regulatory approvals have been enacted or issued, as applicable.\n\n21.\n“Developed and launched” (Desarrollado y lanzado) means that a module of the Sistema Trazar-Agro has completed operational and technical development plans and has been officially announced as operational at a launch event.\n\n22.\n“Developed and operational” (Desarrollada y operativa) means that the Digital Information Platform for Producers has been integrated into the MAG, SENASA, and SFE systems and that users can access and navigate it.\n\n23.\n“Digital Information Platform for Producers” (Plataforma Digital de Información para Productores) means the Sistema de Información de Extensión Agropecuaria del MAG.\n\n24.\n“Disbursement-Linked Indicator” (Indicador Vinculado a Desembolsos) or “DLI” means, with respect to a given Category, the indicator related to that Category, as set forth in the table in Section IV.A.2 of Anexo 2 to this Agreement.\n\n25.\n“Disbursement-Linked Result” (Resultado Vinculado a Desembolso) or “DLR” means, with respect to a given Category, the result under that Category, as set forth in the table in Section IV.A.2 of Anexo 2 to this Agreement, upon achievement of which the amount of the Loan allocated to such result may be withdrawn in accordance with the provisions of Section IV of Anexo 2 to this Agreement.\n\n26.\n“Established” (Establecido) means that, for the PSA Mechanism, the scope of application, recognition of environmental services, and implementation arrangements have been (a) designed; (b) approved by the relevant authorities; and (c) the relevant legal or regulatory approvals have been enacted or issued, as applicable.\n\n27.\n“Finalized” (Finalizado) means MAG’s approval, through an official decree, of the design plan for the Cold Storage Facility.\n\n28.\n“FONAFIFO” means the Borrower’s Fondo Nacional de Financiamiento Forestal, or any successor entity acceptable to the Bank.\n\n29.\n“General Conditions” (Condiciones Generales) means the “Condiciones Generales para el Financiamiento del BIRF del Banco Internacional de Reconstrucción y Fomento, Financiación de Programas por Resultados,” dated 14 de diciembre de 2018 (last updated 15 de julio de 2023), and the amendments set forth in Section II of this Appendix.\n\n30. “GHG” (GEI) means greenhouse gases (gases de efecto invernadero).\n\n31.\n“Information campaign” (Campaña de información) means a campaign to publicize and improve the capacity to use the Digital Information Platform for Producers, conducted through various communication methods, including in-person events and print and digital media, for which MAG has submitted a report documenting the activities of such campaigns and the approximate number of people reached.\n\n32.\n“Implementation Agreements” (Convenios de Implementación) means the implementation agreements (letters of understanding) and framework agreements, as applicable, to be entered into between MAG and each Program Implementing Entity for implementation of the Program, as referred to in detail in Section I.B of Anexo 2 to this Agreement.\n\n33.\n“INCOPESCA” means the Instituto Costarricense de Pesca y Acuicultura, or any successor entity acceptable to the Bank.\n\n34. “INTA” means the Borrower’s Instituto Nacional de Innovación y Transferencia en Tecnología Agropecuaria, or any successor entity acceptable to the Bank.\n\n35. “MAG” means the Borrower’s Ministerio de Agricultura y Ganadería, or any successor entity acceptable to the Bank.\n\n36. “NAMA” means nationally appropriate mitigation actions (acciones de mitigación nacionalmente apropiadas), which are policies containing actions and objectives that countries commit to undertaking to reduce emissions pursuant to the Convención Marco de las Naciones Unidas sobre el Cambio Climático.\n\n37. “OIRSA” means the Organismo Internacional Regional de Sanidad Agropecuaria, or any successor entity acceptable to the Bank.\n\n38. “ONS” means the Borrower’s Oficina Nacional de Semillas, or any successor entity acceptable to the Bank.\n\n39.\n“Operational” (Operativo) means that documentation, such as transaction receipts, is provided for fishers using the Cold Storage Facility.\n\n40.\n“Operational” also means that the SBD NAMA Financing Program is accessible to the public and has documented its first loan or guarantee for a PYMPA.\n\n41. “Pagos por Servicios Ambientales” or “PSA” means payments made to farmers or ranchers who have agreed to undertake specified actions to manage their land or watersheds in order to provide an ecological service, financed by the Fondo Nacional de Financiamiento Forestal (FONAFIFO) or the Ministerio de Ambiente y Energía (MINAE), and governed by Ley Forestal N.º 7575 de 1996.\n\n42.\n“PSA Mechanism” (Mecanismo de PSA) means a financial mechanism to be designed and established to promote carbon sequestration (secuestro de carbono) in agricultural soils through payments to NAMA producers for certified carbon sequestration attributable to their adoption of NAMA.\n\n43. “PIMA” means the Programa Integral de Mercadeo Agropecuario, or any successor entity acceptable to the Bank.\n\n44. “Program Action Plan” (Plan de Acción del Programa) means MAG’s plan dated 11 de marzo de 2025 and referred to in Section E of Anexo 2 to this Agreement, as subsequently amended with the Bank’s prior written agreement.\n\n45.\n“Program General Conditions” (Condiciones Generales del Programa) means the “Condiciones Generales para el Financiamiento del BIRF del Banco Internacional de Reconstrucción y Fomento, Financiación de Programas por Resultados,” dated 14 de diciembre de 2018 (last updated 15 de julio de 2023), and the amendments set forth in Section II of this Appendix.\n\n46.\n“Program Executing Entity” (Entidad Ejecutora del Programa) means MAG, as the lead executing entity, and INCOPESCA, SBD, SFE, SENARA, PIMA, SENASA, and INTA, as well as any successor thereto acceptable to the Bank; the term “Program Implementing Entities” (Entidades Implementadoras del Programa), in turn, means all such entities collectively, including any successor thereto acceptable to the Bank.\n\n47. “Program Operations Manual” (Manual de Operaciones del Programa) or “Operations Manual” (Manual de Operaciones) means the manual referred to in Section I.C of Anexo 2 to this Agreement, as subsequently amended with the Bank’s prior agreement.\n\n48.\n“Project General Conditions” (Condiciones Generales del Proyecto) means the “Condiciones Generales para el Financiamiento del BIRF del Banco Internacional de Reconstrucción y Fomento, Financiación del Proyecto de Inversión,” dated 14 de diciembre de 2018 (last updated 15 de julio de 2023), and the amendments set forth in Section II of this Appendix.\n\n49. “PYMPA” means small- and medium-scale Costa Rican agricultural producers classified as such pursuant to Artículo 9 of Decreto Nº 37911-MAG, dated 19 de agosto de 2013.\n\n50. “PYMPAs receiving assistance to implement NAMA” (PYMPAs que reciben asistencia para implementar NAMA) means PYMPAs engaged in livestock production and coffee and sugarcane cultivation that have received technical assistance from MAG extension agents to enable them to meet the criteria necessary for their productive activity to be classified as NAMA.\n\n51. “Rapid Response Option” (Opción de Respuesta Rápida) or “RRO” (ORR) means the use of all or part of the Loan, requested by the Borrower and accepted by the Bank in accordance with the terms of this Agreement, to: (a) assist in financing the CERP; and (b) provide complementary financing in support of the program defined in the Cat DDO Legal Agreement.\n\n52.\n“Registered and active” (Registrado y activo) means that producers have created a profile on the Digital Information Platform for Producers and their information is accessible to users of the platform.\n\n53. “SBD” means the Borrower’s banking development system (Sistema de Banca para el Desarrollo de Costa Rica), or any successor entity acceptable to the Bank.\n\n54.\n“SBD NAMA Financing Program” (Programa de Financiamiento de NAMA del SBD) means a program created for and accessible only to PYMPAs, intended to finance the implementation of NAMAs, and consisting of a financing facility and a guarantee scheme.\n\n55.\n“SENARA” means the Borrower’s Servicio Nacional de Aguas Subterráneas, Riego y Avenamiento, or any successor entity acceptable to the Bank.\n\n56.\n“SENASA” means the Borrower’s Servicio nacional de Salud Animal, or any successor entity acceptable to the Bank.\n\n57. “SEPSA” means MAG’s Secretaría Ejecutiva de Planificación Sectorial Agropecuaria, or any successor entity acceptable to the Bank.\n\n58.\n“Service Comptroller’s Offices” (Contraloría de Servicios) means the entities or departments, as determined by the Borrower and duly reported to the Bank, through which citizens may submit claims, complaints, or suggestions via channels such as online forms, email, telephone, or in-person visits.\n\n59. “SFE” means the Borrower’s Servicio Fitosanitario del Estado, or any successor entity acceptable to the Bank.\n\n60. “Signing Date (Fecha de Suscripción)” means the later of the two dates on which the Borrower and the Bank signed this Agreement, and this definition applies to all references to “the date of the Loan Agreement” in the General Conditions.\n\n61. “Trazar-Agro System (Sistema Trazar-Agro)” means OIRSA’s Harmonized Regional Agricultural, Aquaculture, and Fisheries Traceability and Registration System, a traceability system that facilitates the application of regional traceability standards, the registration and oversight of agricultural, aquaculture, and fisheries persons and establishments, and the monitoring of other traceability operations.\n\n62. “United Nations Framework Convention on Climate Change (Convención Marco de las Naciones Unidas sobre el Cambio Climático)” means the UN Convention of the same name, dated May 9, 1992.\n\n63. “Verification Agency (Agencia de Verificación)” means the Borrower’s entity and/or consultants to be selected and appointed in accordance with the provisions of Section I.D of Anexo 2 to this Agreement for the purpose of verifying the achievement of the DLRs by MAG and the Program Implementing Entities.\n\n64. “Verification Protocol (Protocolo de Verificación)” means the protocol agreed upon between the Borrower, through MAG, and the Bank, dated March 11, 2025, setting forth the means, procedures, and evidence that will serve as the basis for certifying the achievement of the DLRs, as well as the entities responsible therefor, the content and/or format of the reports to be provided to the Bank in support thereof, and any subsequent amendments thereto made with the Bank’s prior written agreement.\n\n65. “Water User Associations (Sociedades de Usuarios del Agua)” means the Sociedades de Usuarios del Agua established pursuant to Costa Rica’s Ley de Aguas N.º 276 of August 27, 1942, as last amended on June 25, 2012, to govern the collective use of public water.\n\n66. “Youth (Jóvenes)” means persons at least 18 years of age and no more than 35 years of age.\n\nSection II.  \nAmendments to the General Conditions\n\nThe General Conditions are hereby amended as follows:\n\n1. Section 1.01 (Application of General Conditions) of the Project General Conditions is amended by adding a new paragraph as follows:\n\n“If the Loan Agreement provides for the use of the Loan to assist in financing the CERP, references in these General Conditions to the Project and the Respective Parts of the Project (other than those set forth in Subsections 5.08(b)(i) and 5.08(c)(i), and the definitions of the terms ‘Anti-Corruption Guidelines,’ ‘Procurement Regulations,’ ‘Project,’ and ‘Respective Part of the Project’) shall also be deemed to refer to the CERP and the Respective Parts of the CERP, respectively. Conversely, if the Loan Agreement does not provide for the use of the Loan to assist in financing the CERP, references to the CERP and the Respective Parts of the CERP in these General Conditions, and all provisions applicable exclusively thereto, shall be disregarded.\n\n2. Section 3.01 (Front-end Fee; Commitment Charge; Exposure Surcharge) is amended to read as follows:\n\n“Section 3.01. Front-end Fee; Commitment Charge\n\n(a) The Borrower shall pay the Bank a Front-end Fee on the amount of the Loan at the rate specified in the Loan Agreement. Unless otherwise provided in Section 2.05(b), the Borrower shall pay the Front-end Fee no later than sixty (60) days after the Effective Date.\n\n(b) The Borrower shall pay the Bank a Commitment Charge on the Unwithdrawn Loan Balance at the rate specified in the Loan Agreement. The Commitment Charge shall accrue from the date of the Loan Agreement or the date falling on the fourth anniversary of the Bank’s approval of the Loan, whichever is later, until the respective dates on which amounts are withdrawn by the Borrower from the Loan Account or canceled. Unless otherwise provided in Section 2.05(c), the Borrower shall pay the Commitment Charge semiannually in arrears on each Payment Date.”\n\n3. Section 3.04 (Prepayment) is amended to read as follows:\n\n“Section 3.04. Prepayment\n\n(a) Upon giving the Bank no less than forty-five (45) days’ notice, the Borrower may prepay to the Bank the following amounts before their maturity, as of a date acceptable to the Bank (provided that the Borrower has paid all Loan Payments due as of such date): (i) the entire Withdrawn Loan Balance as of such date; or (ii) the entire principal amount of one or more maturities of the Loan. Any partial prepayment of the Withdrawn Loan Balance shall be applied as specified by the Borrower or, in the absence of any specification by the Borrower, as follows: (A) if the Loan Agreement provides for the separate amortization of Disbursed Amounts of the principal of the Loan, the prepayment shall be applied in the reverse order of such Disbursed Amounts; the Disbursed Amount withdrawn last shall be prepaid first, and the latest maturity of such Disbursed Amount shall be prepaid first; and (B) in all other cases, the prepayment shall be applied in the reverse order of the maturities of the Loan, with the latest maturity being prepaid first.\n\n(b) If, with respect to any amount of the Loan to be prepaid, a Conversion has been applied and the Conversion Period has not ended at the time of prepayment, the provisions of Section 4.06 shall apply.”\n\n4. Paragraphs (b) and (c) of Section 5.08 (Project Monitoring and Evaluation) of the Project General Conditions are amended to read as follows:\n\n“(b) The Borrower shall:\n\n(i) with respect to the Project, prepare, or cause to be prepared, periodic reports (‘Project Report’), in form and substance satisfactory to the Bank, integrating the results of the Project’s monitoring and evaluation activities and setting forth the measures recommended to ensure the continued effective and efficient implementation of the Project and the achievement of its objectives;\n\n(ii) with respect to the CERP, prepare, or cause to be prepared, periodic reports (‘CERP Report’), in form and substance satisfactory to the Bank, integrating the results of the CERP’s monitoring and evaluation activities and setting forth the measures recommended to ensure the continued effective and efficient implementation of the CERP; such CERP Reports shall be prepared: (A) annually, if there is no Eligible Crisis or Emergency; and (B) at least semiannually, as further specified in the CERP Manual, throughout the implementation period of a Crisis Response Plan during an Eligible Crisis or Emergency; and\n\n(iii) furnish, or cause to be furnished, each Project Report or CERP Report to the Bank promptly upon its preparation, affording the Bank a reasonable opportunity to exchange views with the Borrower and the Project Implementing Entity regarding such report, and thereafter implement such recommended measures, taking into account the Bank’s views on the matter.\n\n(c) Unless the Bank may reasonably determine otherwise, the Borrower shall prepare, or cause to be prepared, and furnish to the Bank:\n\n(i) with respect to the Project, no later than six (6) months after the Closing Date: (A) a report of such scope and in such detail as the Bank may reasonably request regarding the implementation of the Project, the performance by the Borrower and the Bank of their respective obligations under the Legal Agreements, and the accomplishment of the purposes of the Loan; and (B) a plan designed to ensure the sustainability of the Project’s achievements; and\n\n(ii) with respect to the CERP, no later than six (6) months after the end of the CERP implementation period: (A) a report of such scope and in such detail as the Bank may reasonably request regarding the implementation of the CERP, the performance by the Borrower and the Bank of their respective obligations, and the accomplishment of the purposes of the Loan; and (B) a plan designed to ensure the sustainability of the CERP’s achievements.”\n\n5. A new Section 5.15 (Contingent Emergency Response Project) is added to the Project General Conditions as follows:\n\n“Section 5.15. Contingent Emergency Response Project\n\n(a) If the Loan Agreement provides for the use of the Loan to assist in financing the CERP, the Bank may reallocate all or part of the Unwithdrawn Loan Balance to finance a specific Crisis Response Plan if the Bank has notified the Borrower that the following conditions have been met:\n\n(i) (A) the Borrower has determined that an Eligible Crisis or Emergency has occurred and furnished the Bank with a reallocation request, and thereafter withdrawn all or part of the Unwithdrawn Loan Balance to finance a specific Crisis Response Plan under the CERP that was to be implemented at the time of the request; and (B) the Bank has agreed with such determination and accepted the request in question; and\n\n(ii) the Borrower has adopted the CERP Manual (with the CERP ESCP attached as an annex) and the Crisis Response Plan, each in form and substance acceptable to the Bank.\n\n(b) The Borrower shall carry out, or cause to be carried out, the CERP in accordance with the Crisis Response Plans, the CERP Manual, the Environmental and Social Standards, the CERP ESCP, and the environmental and social instruments prepared thereunder, in a manner acceptable to the Bank. To this end, the Borrower shall ensure that:\n\n(i) the structures and arrangements referred to in the CERP Manual are maintained throughout the implementation of the CERP and each Crisis Response Plan, in form and substance acceptable to the Bank;\n\n(ii) the environmental and social instruments required for the CERP and the respective Crisis Response Plan are prepared, disclosed, and implemented in accordance with the CERP Manual and the CERP ESCP, in form and substance acceptable to the Bank;\n\n(iii) the measures and actions specified in the CERP ESCP are implemented with due diligence and efficiency, as provided in the CERP ESCP;\n\n(iv) sufficient funds are made available to cover the costs of implementing the CERP ESCP;\n\n(v) policies and procedures are maintained, and adequate numbers of qualified and experienced staff are retained, to implement the CERP ESCP, as provided therein;\n\n(vi) subject to the Bank’s prior written approval, any CERP ESCP or environmental and social document prepared thereunder is disclosed promptly following its approval;\n\n(vii) all necessary measures are taken to collect, compile, and furnish to the Bank, through periodic reports at the frequency specified in the CERP Environmental and Social Commitment Plan (ESCP del CERP), and promptly in one or more separate reports, if so requested by the Bank, information on the status of compliance with the CERP ESCP and the environmental and social instruments referred to therein, all in form and substance acceptable to the Bank, indicating, by way of example: (A) the status of implementation of the CERP ESCP; (B) any conditions that interfere or threaten to interfere with the implementation of the CERP ESCP; and (C) the corrective and preventive measures taken or required to address such conditions; and\n\n(viii) the Bank is promptly notified of any incident or accident related to or having an impact on the CERP that has, or is likely to have, a significant adverse effect on the environment, the affected communities, the public, or workers, in accordance with the CERP ESCP, the environmental and social instruments referred to therein, and the Environmental and Social Standards (Estándares Ambientales y Sociales).\n\n(d) The Borrower shall ensure that neither the Crisis Response Plan or Plans (Plan o Planes de Respuesta ante Crisis), nor the CERP Manual (Manual del CERP), nor the CERP ESCP is amended, suspended, abrogated, repealed, or waived without the Bank’s prior written approval. Notwithstanding the foregoing, in the event of any inconsistency between the provisions of the CERP Manual, the Crisis Response Plans, or the CERP ESCP, on the one hand, and any provision of these General Conditions or the Legal Agreements, on the other hand, the provisions of the Legal Agreements and these General Conditions shall prevail.\n\n(e) The Borrower shall establish, publicize, maintain, and operate, or cause to be established, publicized, maintained, and operated, an accessible grievance mechanism (mecanismo de reclamaciones) to receive and facilitate the resolution of concerns and grievances of persons affected by the CERP, and shall take all necessary and appropriate measures to resolve or facilitate the resolution of such concerns or grievances in a manner acceptable to the Bank.\n\n(f) The Borrower shall ensure that all legally binding documents and contracts for carrying out civil works (obras civiles) under the CERP include obligations requiring contractors, subcontractors, and supervising entities to: (i) comply with the relevant aspects of the applicable CERP ESCP and the environmental and social documents referred to therein; and (ii) adhere to and enforce the codes of conduct provided to and signed by all workers, which shall detail measures to address environmental, social, health, and safety risks, as well as the risks of sexual exploitation and abuse, sexual harassment, and violence against children, all as applicable to such civil works commissioned or carried out under such contracts.”\n\n6. The following definitions are inserted into the Appendix in alphabetical order as paragraphs [#]- [#], and the remaining definitions and paragraphs, as applicable, are renumbered accordingly:\n\n“[#]. ‘CERP ESCP’ means the environmental and social commitment plan for the CERP to be prepared and adopted by the Borrower, as such plan may be amended from time to time in accordance with its provisions, setting forth the material measures and actions that the Borrower shall carry out to address potential environmental and social risks and the impact of the activities detailed in the Crisis Response Plan, including the timeframes for such actions and measures, institutional staffing, training, monitoring and reporting arrangements, and any environmental and social instrument to be prepared thereunder.”\n\n“[#]. ‘CERP Manual’ means the implementation manual to be prepared and adopted by the Borrower, setting forth the detailed implementation arrangements for the CERP, including the following: (a) any institutional structure or arrangement and the assignment of responsibilities and decision-making powers for coordinating and implementing activities thereunder; (b) the specific activities to be implemented under the CERP in response to the identified or declared Eligible Crisis or Emergency (Crisis o Emergencia Elegible), in accordance with the Crisis Response Plan; (c) the template for the Crisis Response Plan; (d) the positive list of Eligible Expenditures (Gastos Elegibles) for the CERP; (e) the financial management and withdrawal arrangements for implementing the CERP; (f) the procurement mechanisms and procedures to be followed in implementing the CERP; (g) a description of the environmental and social assessment and management arrangements applicable to the CERP; and (h) a template for CERP Reports (Informes del CERP), as well as the monitoring and evaluation arrangements for activities carried out thereunder.”\n\n“[#]. ‘CERP Report’ means each report on the CERP to be prepared and furnished to the Bank pursuant to Section 5.08 (b)(ii) of these General Conditions.”\n\n“[#]. ‘Contingent Emergency Response Project’ (Proyecto de Respuesta Contingente ante Emergencias) and the term ‘CERP’ mean the contingent emergency response project prepared from time to time by the Borrower and agreed with the Bank, intended to respond effectively and promptly to an Eligible Crisis or Emergency, as further detailed in the Crisis Response Plans, and as such project may be amended from time to time by agreement between the Borrower and the Bank.”\n\n“[#]. ‘Crisis Response Plan’ means the plan to be prepared and adopted by the Borrower in response to an Eligible Crisis or Emergency, which shall detail, by way of example:\n\n(a) the activities to be implemented under the CERP in response to an Eligible Crisis or Emergency; (b) the estimated budget and corresponding allocations or sources of financing; (c) the implementation period, which, unless otherwise agreed by the Bank, shall not exceed twelve (12) months; (d) the anticipated procurements and a summarized Procurement Plan (Plan de Adquisiciones) for the CERP; and (e) the anticipated results framework and indicators.”\n\n“[#]. ‘Eligible Crisis or Emergency’ means an event that has caused, or is likely imminently to cause, a major adverse economic or social impact on the Borrower associated with a natural or man-made disaster or crisis.”\n\n“[#]. ‘Environmental and Social Standards’ means, collectively:\n\n(i) ‘Environmental and Social Standard 1: Assessment and Management of Environmental and Social Risks and Impacts’; (ii) ‘Environmental and Social Standard 2: Labor and Working Conditions’; (iii) ‘Environmental and Social Standard 3: Resource Efficiency and Pollution Prevention and Management’;\n\n(iv) ‘Environmental and Social Standard 4: Community Health and Safety’;\n\n(v) ‘Environmental and Social Standard 5: Land Acquisition, Restrictions on Land Use and Involuntary Resettlement’; (vi) ‘Environmental and Social Standard 6: Biodiversity Conservation and Sustainable Management of Living Natural Resources’; (vii) ‘Environmental and Social Standard 7: Indigenous Peoples/Sub-Saharan African Historically Underserved Traditional Local Communities’;\n\n(viii) ‘Environmental and Social Standard 8: Cultural Heritage’;\n\n(ix) ‘Environmental and Social Standard 9: Financial Intermediaries’;\n\n(x) ‘Environmental and Social Standard 10: Stakeholder Engagement and Information Disclosure’; effective as of 1 de octubre de 2018, as published by the Bank.”\n\n7. In paragraphs originally numbered 74 and 80 of the Appendix to the Program General Conditions, and paragraphs originally numbered 75 and 81 of the Appendix to the Project General Conditions, the terms “Loan Payment” and “Payment Date,” respectively, and in paragraphs originally numbered 6, 85, and 90 of the Appendix to the Project General Conditions, the terms “Anti-Corruption Guidelines,” “Procurement Regulations,” and “Project Reports,” respectively, are amended to read as follows:\n\n“6. ‘Anti-Corruption Guidelines’ means: (a) for the Project: the ‘Guidelines on Preventing and Combating Fraud and Corruption in Projects Financed by IBRD Loans and IDA Credits and Grants,’ as further defined in the Loan Agreement; and (b) for the CERP: the latest iteration of the ‘Guidelines on Preventing and Combating Fraud and Corruption in Projects Financed by IBRD Loans and IDA Credits and Grants’ issued by the Bank as of the date on which the Bank approves the CERP financing.”\n\n“74. ‘Loan Payment’ means any amount payable by the Loan Parties to the Bank pursuant to the Legal Agreements, including, without limitation, any amount of the Withdrawn Loan Balance, interest, the Front-end Fee, the Commitment Charge, interest accrued at the Default Interest Rate (if any), any surcharge, any transaction fee relating to a Conversion or the early termination of a Conversion, any premium payable upon the establishment of an Interest Rate Cap or Interest Rate Collar, and any Unwinding Amount payable by the Borrower.”\n\n“80. ‘Payment Date’ means each date specified in the Loan Agreement occurring on or after the date of the Loan Agreement on which interest, the Commitment Charge, and other charges and fees on the Loan (other than the Front-end Fee) are payable, as applicable.”\n\n“85. ‘Procurement Regulations’ means: (a) for the Project: the ‘World Bank Procurement Regulations for IPF Borrowers,’ as further defined in the Loan Agreement; and (b) for the CERP: the latest iteration of the ‘World Bank Procurement Regulations for IPF Borrowers’ issued by the Bank as of the date on which the Bank approves the CERP financing.”\n\n“90. ‘Project Report’ means each report on the Project to be prepared and furnished to the Bank pursuant to Section 5.08 (b)(i) of these General Conditions.”\n\n8.
