Brathwaite, Director General del Instituto\nInteramericano de Cooperación para la Agricultura, en adelante denominado\n\"IICA\", por la otra parte:\n\nCONSIDERANDO:\n\nQue el Gobierno y el IICA suscribieron en San José el día 3 de\ndiciembre de 1999 un Contrato por medio del cual se aprobaron las\nmodificaciones al convenio suscrito en San José, el día veintiuno de febrero de\nmil novecientos ochenta y tres, ratificado por la Asamblea Legislativa mediante\nLey número 6873 del 3 de junio de 1983,\n a fin de asegurar la continuidad y funcionamiento del \"Centro\nAgronómico Tropical de Investigación y Enseñanza\", en adelante referido por la\nsigla Catie.\n\nQue dicho Contrato fue aprobado\npor la Asamblea Legislativa de Costa Rica mediante ley 8028 del 27 de setiembre\ndel 2000, publicado en el Alcance número 66-B a la Gaceta número 196, del\njueves 12 de octubre del año 2000.\n\nQue el Gobierno y el IICA son\nmiembros regulares del Catie y de acuerdo a la cláusula décima su Consejo\nSuperior es presidido por el Ministro de Agricultura y Ganadería de Costa Rica\ny, el Director General del IICA, funge como Vicepresidente.\n\nQue la cláusula Trigésimacuarta\nde dicho instrumento establece que \"Las modificaciones al presente Contrato\npodrán hacerse por iniciativa de cualquiera de los miembros regulares.\nRequerirán la aprobación, por mayoría de dos tercios de sus miembros, por parte\ndel Consejo Superior del Catie y de la Junta Interamericana de Agricultura.\nPosteriormente, deberán ser ratificadas por la Asamblea Legislativa de la\nRepública de Costa Rica\".\n\nQue siguiendo el procedimiento\nde modificación señalado en el Convenio, el Gobierno y el IICA han acordado en\nmodificar la cláusula primera del texto actual, por la modificación que se\npropone, según se indica a continuación:\n\n \n\nTexto actual\n\nPropuesta de texto\n modificado\n\n(el texto\n subrayado y en negrita corresponde a la propuesta\n\nde modificación)\n\nPRIMERA.- El objeto del presente Contrato es la\n constitución de una Asociación Civil de carácter científico y educacional,\n con personería jurídica propia, cuyos propósitos serán la investigación en el\n campo de las ciencias agropecuarias, de los recursos naturales y afines, en\n las regiones del trópico americano, particularmente de Mesoamérica y El\n Caribe. Como tal el\n Catie está habilitado para ofrecer\n grados académicos y títulos profesionales en sus áreas de competencia, los\n cuales facultarán para el ejercicio de la profesión respectiva.\n\n \n\nQue siguiendo rigurosamente el\nprocedimiento que establece el Contrato, la modificación que se propone a la\ncláusula primera fue aprobada por: a) la Junta Directiva del Catie en su XXXII\nReunión Ordinaria (Resolución 6-07/XXXII ROJD) celebrada los días 17 y 18 de\nabril del 2007, que ratifica la Resolución 14-07/XXVIII del Comité Ejecutivo y\nde Finanzas celebrada el día 16 de abril del 2007; b) por el Consejo Superior\ndel Catie en su resolución CS/Extraordinaria N.º 1-2007, celebrada el día 3 de\nmayo del 2007 y; c) Finalmente, por la Junta Interamericana de Agricultura en\nsu Décima Cuarta Reunión Ordinaria mediante Resolución IICA/JIA/Res. 442\n(XIV-0/07), aprobaciones que han sido por unanimidad.\n\nQue de la modificación propuesta conoce la\nAsamblea Legislativa de Costa Rica, según expediente número 16889\n a solicitud de los legisladores Salvador Quirós Conejo y Sandra María\nQuesada Hidalgo.\n\nQue de acuerdo a lo actuado en\nel expediente legislativo y como consecuencia de las audiencias otorgadas según\nla Constitución y el Reglamento de la Asamblea, la Procuraduría General de la\nRepública y otras instituciones y oficinas han señalado que se echa de menos el\nAcuerdo -documento que contenga la voluntad manifiesta y expresa de las partes\nen la modificación de la cláusula primera; así como el hecho de que el mismo\nhaya sido iniciado por los legisladores dichos y no por el Ejecutivo.\n\nQue mediante Decreto Ejecutivo\n35172-MP el Presidente de la República y el Ministro de la Presidencia\nampliaron la convocatoria a Sesiones Extraordinarias a la Asamblea Legislativa,\nhecha mediante Decreto Ejecutivo 34907-MP, a fin de que se conozcan el proyecto\nde ley a que se refiere el expediente 16889, entre otros.\n\nQue el artículo 140 de la\nConstitución Política establece en lo conducente que \"Son deberes y\natribuciones que corresponden conjuntamente al Presidente y al respectivo\nMinistro de Gobierno:\n\n19)  \nSuscribir los contratos administrativos no comprendidos en el inciso\n14) del artículo 121 de esta Constitución, a reserva de someterlos a la\naprobación de la Asamblea Legislativa cuando estipulen exención de impuestos o\ntasas, .\".\n\n \n\nQue a efecto de cumplir con lo expuesto por la Procuraduría General de\nla República mediante el oficio OJ-035-2008 del 18 de junio del 2008 y,\nposteriores opiniones en ese mismo sentido y; con el objeto de que quede en\nforma expresa, manifiesta e inequívoca la voluntad del Gobierno y del IICA, en\ncuanto a la reforma y; lo actuado en el expediente legislativo, por ser una\nmodificación que interesa al Poder Ejecutivo.\n\nAcuerdan:\n\nModifíquese el Contrato suscrito entre el Gobierno y el IICA en la\nciudad de San José el día 3 de diciembre de 1999 sobre el Centro Agronómico\nTropical de Investigación y Enseñanza, Catie, aprobado por la Asamblea\nLegislativa de Costa Rica mediante Ley 8028 del 27 de setiembre del 2000,\npublicada en el Alcance número 66-B a La Gaceta número 196, del jueves\n12 de octubre del año 2000, para que en lo sucesivo se lea la cláusula primera\nasí:\n\nPRIMERA.- El objeto del presente Contrato es la constitución de una\nAsociación Civil de carácter científico y educacional, con personería jurídica\npropia, cuyos propósitos serán la investigación en el campo de las ciencias\nagropecuarias, de los recursos naturales y afines, en las regiones del trópico\namericano, particularmente de Mesoamérica y El Caribe. As such, Catie\n is authorized to offer\n academic degrees and professional titles in its areas of competence, which\n shall entitle the holder to practice the respective profession.\n\n \n\nThat rigorously following the\nprocedure established by the Contract, the modification proposed to\nclause one was approved by: a) the Board of Directors of Catie at its XXXII\nRegular Meeting (Resolution 6-07/XXXII ROJD) held on April 17 and 18,\n2007, which ratifies Resolution 14-07/XXVIII of the Executive and\nFinance Committee held on April 16, 2007; b) by the Superior Council\nof Catie in its Resolution CS/Extraordinaria No. 1-2007, held on May 3,\n2007; and c) Finally, by the Inter-American Board of Agriculture at\nits Fourteenth Regular Meeting through Resolution IICA/JIA/Res. 442\n(XIV-0/07), approvals that were unanimous.\n\nThat the proposed modification is being heard by the\nLegislative Assembly of Costa Rica, under file number 16889\n at the request of legislators Salvador Quirós Conejo and Sandra María\nQuesada Hidalgo.\n\nThat according to the proceedings in\nthe legislative file and as a consequence of the hearings granted according to\nthe Constitution and the Regulations of the Assembly, the Office of the Attorney General of the\nRepublic and other institutions and offices have pointed out that the\nAgreement is missing—a document containing the manifest and express will of the parties\nregarding the modification of clause one; as well as the fact that it\nwas initiated by said legislators and not by the Executive Branch.\n\nThat through Executive Decree\n35172-MP, the President of the Republic and the Minister of the Presidency\nexpanded the call for Extraordinary Sessions of the Legislative Assembly,\nmade through Executive Decree 34907-MP, so that the bill\nreferred to in file 16889, among others, may be heard.\n\nThat Article 140 of the\nPolitical Constitution establishes, where relevant, that \"The following are joint duties and\nattributions of the President and the respective Minister of Government:\n\n19)  \nTo sign administrative contracts not included in subsection\n14) of Article 121 of this Constitution, subject to submitting them to the\napproval of the Legislative Assembly when they stipulate exemption from taxes or\nfees, .\".\n\n \n\nThat in order to comply with the opinion issued by the Office of the Attorney General of\nthe Republic through official communication OJ-035-2008 of June 18, 2008, and\nsubsequent opinions to that same effect; and in order that\nthe will of the Government and IICA be set forth in an express, manifest, and unequivocal form,\nregarding the amendment, and considering the proceedings in the legislative file, because this is\na modification of interest to the Executive Branch.\n\nThey agree:\n\nLet the Contract signed between the Government and IICA in the\ncity of San José on December 3, 1999, regarding the Tropical Agricultural\nResearch and Higher Education Center, Catie, approved by the Legislative\nAssembly of Costa Rica through Law 8028 of September 27, 2000,\npublished in Supplement number 66-B to La Gaceta number 196, of Thursday,\nOctober 12, 2000, be modified so that clause one shall henceforth read\nas follows:\n\nONE.- The purpose of this Contract is the constitution of a\nCivil Association of a scientific and educational nature, with its own legal personality,\nwhose purposes shall be research in the field of\nagricultural sciences, natural resources, and related fields, in the regions of the American tropics, particularly Mesoamerica and the Caribbean. Likewise, postgraduate teaching\nand other educational forms in agricultural sciences and\nrenewable natural resources and related fields, for the benefit of the Member States\nof the Inter-American Institute for Cooperation on Agriculture (IICA).
